contratos de seguro sujetos a intervenciones legales, la necesidad<br />
de reiniciar negociaciones sobre posibles ajustes en las condiciones<br />
de reaseguro. Si, en el intento de llegar a un acuerdo,<br />
fracasaran, el contrato de reaseguro se aplicaría como si no hubiese<br />
ocurrido la alteración de la ley o los hechos en relación al<br />
riesgo original.<br />
5. El Derecho del Asegurador de Dirigir los Negocios y la<br />
Obligación del Reasegurador de Seguir las Acciones<br />
Como ya se mencionó, existe una diferencia fundamental entre<br />
las ideas de riesgo original y seguir la suerte y las de dirigir los negocios<br />
y seguir las acciones. Seguir la suerte se refiere a los eventos<br />
fuera del control del asegurador o que ocurran sin su intervención;<br />
mientras que el concepto de seguir las acciones se refiere a<br />
las medidas, u omisiones, tomadas por el propio asegurador.<br />
Esos dos conceptos no siempre se mantienen separados con la<br />
debida claridad en los contratos de reaseguro, razón por la cual<br />
han llevado a incontables interpretaciones encontradas alcanzando,<br />
a veces, cierto nivel indeseado de discusión entre aseguradores<br />
y reaseguradores en Brasil.<br />
Una característica común de esos dos principios es que se refieren<br />
a riesgos o siniestros definidamente cubiertos por el contrato<br />
de reaseguros. Aunque el reasegurador no necesite seguir la suerte<br />
de su asegurador, en contrato de reaseguro con responsabilidad<br />
limitada por póliza, si el asegurador estuviere obligado por<br />
norma a garantizar una determinada cobertura, más allá de los límites<br />
originalmente contratados en el seguro, tampoco necesita el<br />
reasegurador seguir las acciones del asegurador; sobre todo en el<br />
caso en que este decida, por razones comerciales, liquidar el siniestro<br />
por una suma superior a la responsabilidad máxima convenida<br />
en el contrato de reaseguro.<br />
Mientras el principio de seguir la suerte se refiere a eventos fuera<br />
del control del asegurador, seguir las acciones pertenece a los<br />
actos, a las medidas o decisiones tomadas por el propio asegurador.<br />
Como consecuencia, se hace necesario en este tema considerar<br />
si la acción tomada es “negligente”, “normal” o “aceptable”.<br />
En este punto, las partes pueden tener, por supuesto, opiniones<br />
distintas. Por eso, se le ha otorgado mayor importancia literaria<br />
a las discusiones sobre el alcance del principio de seguir las acciones<br />
que al principio de seguir la suerte, particularmente, debido<br />
a que muchas afirmaciones respecto de seguir la suerte incluyen<br />
realmente seguir las acciones. Como los límites del concepto de<br />
seguir la suerte ya fueron descriptos, trataremos a continuación<br />
describir el concepto de seguir las acciones por medio de casos<br />
prácticos, creemos de este modo poder contribuir a la comprensión<br />
e identificación puntual de las situaciones, armonizándolas y<br />
evitando indeseables litigios entre las partes.<br />
6. Conclusión<br />
Se expuso claramente que pueden ser varios los temas contractuales<br />
en el campo del reaseguro capaces de generar dudas; pero<br />
las prácticas, innegablemente, tendrán un papel decisivo ya que<br />
permitirán analizar el comportamiento de los contratantes y exigir<br />
la necesaria buena fe en la ejecución del contrato. Las conclusiones<br />
extraídas de ese análisis serán fundamentales para marcar las<br />
decisiones en lo referente a coberturas; una vez realizado, después<br />
de todo, la armonía de las relaciones sólo logrará alcanzarse<br />
con el ejercicio de la ética y de la práctica en el mundo de los negocios<br />
y, en particular, en el universo del reaseguro.■<br />

to legal intervention, such clauses contemplate the need of<br />
re-negotiations aiming at further adjustments in reinsurance<br />
treaties. Should the parties be unable to reach an agreement, the<br />
reinsurance treaty shall be continuously interpreted as if the<br />
original risks had not been affected by the relevant altered rules or<br />
facts.<br />
5. Insurer’s Right to Direct Business and the Reinsurer’s<br />
Obligation to Follow the Settlements<br />
As previously noted, there is a crucial difference between the<br />
concepts of original risk/follow the fortunes and business<br />
direction/follow the settlements. Follow the fortunes refers to<br />
events beyond the control of insurer, or due to reasons other than<br />
this latter’s intervention, while follow the settlement concerns<br />
measures (or omissions) frominsurers themselves.<br />
These two concepts are not always clearly distinct in reinsurance<br />
treaties, thus generating a number of divergent interpretations<br />
and, very often, some inconvenient level of discussion between<br />
insurers and reinsurers in Brazil.<br />
Both principles share a common feature, as they refer to either<br />
risks or claims undoubtedly covered under reinsurance<br />
agreements. Even in cases where reinsurers should not follow<br />
insurer’s fortunes, in reinsurance agreements with limited liability<br />
per policy, if the insurer is legally required to guarantee a certain<br />
coverage beyond the original limits agreed under insurance, the<br />
reinsurer should not be required to follow the insurer’s settlements.<br />
This clearly appears in the particular event that, for business<br />
reasons, the insurer decides to adjust the claim in an amount above<br />
the maximum liability agreed under reinsurance.<br />
While the follow the fortunes principle concerns events beyond<br />
insurer’s control, the follow the settlements refers to acts,<br />
measures or decisions taken by the insurer itself. Consequently,<br />
any analysis should necessarily determine if the relevant action<br />
should be deemed as “negligent”, “normal” or “acceptable”.<br />
The parties may obviously disagree in respect to this issue, and<br />
this is the reason why literature has been emphasizing the scope of<br />
the follow the settlements principle, in detriment of the follow the<br />
fortunes, specially taking into account that many statements<br />
concerning the follow the fortunes really encompass the follow the<br />
settlements. As the limits to the follow the fortunes principle were<br />
already described, we shall try to define the follow the settlements<br />
concept by a reference to cases. Thus, we believe to be able to<br />
contribute to the understanding and identification of situations on<br />
a case-by-case basis, as well as to a more harmonious<br />
interpretation and to the prevention of undesirable litigations<br />
between the parties.<br />
6. Conclusion<br />
As exposed above, reinsurance field encompasses a diversity of<br />
contractual issues that are likely to give rise to doubts in the<br />
market. Nevertheless, daily business practices shall play a crucial<br />
role in the analysis of the contracting parties’ behavior, and shall<br />
require the utmost good faith in the execution and performance of<br />
agreements. The conclusions obtained from such analysis shall<br />
orientate decisions on coverage issues, given that, after all, the<br />
relationships may only be harmonized through practice and in the<br />
light of ethics applied to the business sector, more particularly<br />
within reinsurance field.■<br />
