FUNDAMENTAL CONTRACT LAW*<br />

Cost of Litigati<strong>on</strong>.— It should be and usually is the policy of every<br />

servant corporati<strong>on</strong> to avoid litigati<strong>on</strong> so far as possible. Lawsuits<br />

arc very costly, not <strong>on</strong>ly in attorneys' fees, the taking of evidence,<br />

the court proceedings, the loss of time of salaried employees and<br />

officials, but also in the loss of "good-will," which al<strong>on</strong>e amounts to<br />

more than the gain through litigati<strong>on</strong>, if the cost incident to litigati<strong>on</strong><br />

is ignored.<br />

As it is very rarely necessary to resort to litigati<strong>on</strong>, or to make<br />

c<strong>on</strong>cessi<strong>on</strong>s or render credits to avoid litigati<strong>on</strong>, if the original c<strong>on</strong>-<br />

tract is properly drawn and having been so drawn is executed or<br />

carried out in a spirit of fairness and a business-like manner, it is<br />

highly important that the sales engineer, who must draft such c<strong>on</strong>-<br />

tracts, understands the enormous cost of litigati<strong>on</strong> and the funda-<br />

mentals of c<strong>on</strong>tract law to guide him in avoiding resort to the courts.<br />

The law of c<strong>on</strong>tracts is as simple and as readily understood as any<br />

department of the law. Nevertheless, the average engineer is usually<br />

unable to avoid complicati<strong>on</strong>s and weaknesses in the preparati<strong>on</strong> of<br />

specificati<strong>on</strong>s and other documents pertaining to c<strong>on</strong>tracts. The im-<br />

portance of understanding and knowing the c<strong>on</strong>tents of the following<br />

paragraphs of this chapter can not, therefore, be exaggerated, and<br />

the sales engineer can do well to make them the basis of much<br />

thought and study.<br />

Kinds of C<strong>on</strong>tracts.—A c<strong>on</strong>tract is a promise to do or refrain<br />

from doing some act or series of acts that law will enforce. There<br />

are, in general, two kinds of c<strong>on</strong>tracts:<br />

(1) Sealed c<strong>on</strong>tracts, or specialties.<br />

(2) Parol c<strong>on</strong>tracts.<br />

A sealed c<strong>on</strong>tract, or specialty, is a c<strong>on</strong>tract made under seal; while<br />

a parol c<strong>on</strong>tract is a simple oral or written agreement not made<br />

under seal.<br />

A sealed c<strong>on</strong>tract may be described in greater detail as a written<br />

agreement signed by the parties with a seal appended to the signa-<br />

tures. Formerly a seal c<strong>on</strong>sisted of "an impressi<strong>on</strong> <strong>on</strong> wax, or<br />

paper, or some other tenacious substance capable of being impressed."<br />

Now, however, an impressi<strong>on</strong> of a seal <strong>on</strong> the paper itself is c<strong>on</strong>-<br />

strued as a proper seal, and in many states by statute a scroll en-<br />

closing the word seal made opposite the name of the signer is quite<br />

sufficient. Engineering c<strong>on</strong>tracts are now very rarely executed under<br />

seal; although the b<strong>on</strong>d which holds the sureties for the faithful<br />

performance of the work by the c<strong>on</strong>tractor must be under seal, be-<br />
