SAMPLE CONTRACT<br />

19.7 Upon request, CONTRACTOR shall provide COUNTY with photocopies <strong>of</strong><br />

records <strong>and</strong> documents, including Placed <strong>Children</strong> records, Certified Foster<br />

Parent <strong>and</strong> personnel records, unless prohibited by federal, state, or local<br />

laws. CONTRACTOR shall be responsible for the cost <strong>of</strong> providing<br />

photocopies to COUNTY.<br />

19.8 CONTRACTOR shall be responsible for annual or triennial financial audits,<br />

as applicable, <strong>of</strong> its agency <strong>and</strong> shall require Subcontractors to be<br />

responsible for its annual or triennial financial audits, as applicable, when<br />

required by any governmental entity (e.g. Federal government, the<br />

California <strong>Department</strong> <strong>of</strong> Social Services (CDSS), COUNTY) to be<br />

conducted by an independent audit firm <strong>and</strong> in accordance with generally<br />

accepted governmental auditing st<strong>and</strong>ards. Within thirty (30) days after<br />

issuance <strong>of</strong> the audit reports, CONTRACTOR shall forward copies <strong>of</strong> such<br />

reports to: DCFS, Bureau <strong>of</strong> Finance, Accounting Division, at 725 South<br />

Gr<strong>and</strong> Avenue, Glendora, California 91740, Attention: Administrative<br />

Services Manager III, <strong>and</strong> to DCFS, Contracts Administration, 425 Shatto<br />

Place, Room 400, <strong>Los</strong> <strong>Angeles</strong>, California 90020, Attention: FFA Contract<br />

Analyst.<br />

19.9 In the event that an audit is conducted <strong>of</strong> CONTRACTOR specifically<br />

regarding this Contract by any Federal or State Auditor, or by any auditor<br />

employed by CONTRACTOR or otherwise, then CONTRACTOR shall file a<br />

copy <strong>of</strong> such audit report with COUNTY’s Auditor-Controller within thirty<br />

(30) Days <strong>of</strong> CONTRACTOR’s receipt there<strong>of</strong>, unless otherwise provided<br />

by applicable Federal or State law or under this Contract. COUNTY shall<br />

make a reasonable effort to maintain the confidentiality <strong>of</strong> such audit<br />

report(s).<br />

19.10 Failure on the part <strong>of</strong> CONTRACTOR to comply with the provisions <strong>of</strong> this<br />

Section shall constitute a material breach <strong>of</strong> this Contract upon which<br />

COUNTY may take all appropriate action including but not limited to,<br />

implementation <strong>of</strong> Hold Status, Do Not Refer Status, <strong>and</strong>/or Do Not Use<br />

Status, as set forth in Part I, Section 16.0, Hold Status, Do Not Refer<br />

Status, Do Not Use Status, Corrective Action Plan. If CONTRACTOR<br />

disagrees that there has been a material breach, CONTRACTOR may<br />

exercise any <strong>and</strong> all <strong>of</strong> its legal rights consistent with Part I, Section 20.0<br />

Dispute Resolution Procedures <strong>of</strong> this Contract.<br />

20.0 DISPUTE RESOLUTION PROCEDURES<br />

20.1 CONTRACTOR <strong>and</strong> COUNTY agree to act promptly <strong>and</strong> diligently to first<br />

mutually resolve any disputes, pursuant to procedures set forth in this<br />

Contract. All such disputes shall thereafter be subject to the provisions <strong>of</strong><br />

this Section 20.0.<br />
