33.7 CONTRACTOR shall obtain the following from each Subcontractor before<br />

any Subcontractor employee may perform any work under any<br />

subcontract to this Contract. CONTRACTOR shall maintain <strong>and</strong> make<br />

available upon request <strong>of</strong> Program Manager all the following documents:<br />

33.7.1 An executed Exhibit D, “CONTRACTOR’s Employee<br />

Acknowledgment <strong>and</strong> Confidentiality Agreement”, executed by<br />

each Subcontractor <strong>and</strong> each <strong>of</strong> Subcontractor’s employees<br />

approved to perform work hereunder.<br />

33.7.2 Certificates <strong>of</strong> Insurance which establish that the Subcontractor<br />

maintains all the programs <strong>of</strong> insurance required by Part I, Section<br />

6.0, Insurance Coverage Requirements, <strong>of</strong> this Contract, <strong>and</strong><br />

33.7.3 The Tax Identification Number <strong>of</strong> the subcontracting agency to be<br />

placed on the signature page <strong>of</strong> the subcontract. This Tax<br />

Identification Number shall not be identical to the<br />

CONTRACTOR’s Tax Identification Number.<br />

33.8 CONTRACTOR shall provide Program Manager with copies <strong>of</strong> all<br />

executed subcontracts after Program Manager’s approval.<br />

33.9 No subcontract shall alter in any way any legal responsibility <strong>of</strong><br />

CONTRACTOR to COUNTY. CONTRACTOR shall remain responsible<br />

for any <strong>and</strong> all performance required <strong>of</strong> it under this Contract, including,<br />

but not limited to, the obligation to properly supervise, coordinate, <strong>and</strong><br />

perform all work required hereunder.<br />

33.10 Notwithst<strong>and</strong>ing any other provision <strong>of</strong> this Contract, the parties do not in<br />

any way intend that any person or entity shall acquire any rights as a third<br />

party beneficiary <strong>of</strong> this Contract.<br />

33.11 CONTRACTOR shall be solely liable <strong>and</strong> accountable for any <strong>and</strong> all<br />

payments <strong>and</strong> other compensation to all Subcontractor’s engaged<br />

hereunder <strong>and</strong> their <strong>of</strong>ficers, employees, <strong>and</strong> agents. COUNTY shall<br />

have no liability or responsibility whatsoever for any payment or other<br />

compensation for any Subcontractors or their <strong>of</strong>ficers, employees, <strong>and</strong><br />

agents.<br />

34.0 TERMINATION FOR CONTRACTOR’S DEFAULT<br />

34.1 Upon determining the existence <strong>of</strong> any one or more <strong>of</strong> the circumstances<br />

heret<strong>of</strong>ore described in Part II, Section 21.0, Events <strong>of</strong> Default, this<br />

Contract may be subject to termination, by the Board <strong>of</strong> Supervisors,<br />
