4.0 BUDGET REDUCTIONS<br />

In the event that the <strong>County</strong>’s Board <strong>of</strong> Supervisors adopts, in any fiscal year, a<br />

COUNTY Budget which provides for reductions in the salaries <strong>and</strong> benefits paid<br />

to the majority <strong>of</strong> COUNTY employees <strong>and</strong> imposes similar reductions with<br />

respect to COUNTY contracts, the COUNTY reserves the right to reduce its<br />

payment obligation under this Contract correspondingly for that fiscal year <strong>and</strong><br />

any subsequent fiscal year during the term <strong>of</strong> this Contract (including any<br />

extensions), <strong>and</strong> the services to be provided by the CONTRACTOR under this<br />

Contract shall also be reduced correspondingly. The COUNTY’s notice to the<br />

CONTRACTOR regarding said reduction in payment obligation shall be provided<br />

within thirty (30) calendar Days <strong>of</strong> the Board’s approval <strong>of</strong> such actions. Except<br />

as set forth in the preceding sentence, the CONTRACTOR shall continue to<br />

provide all <strong>of</strong> the services set forth in this Contract.<br />

5.0 CHANGES AND AMENDMENTS<br />

COUNTY reserves the right to change any portion <strong>of</strong> the work required under this<br />

Contract, or make amendment to such other terms <strong>and</strong> conditions as may<br />

become necessary. COUNTY shall give CONTRACTOR thirty (30) Days prior<br />

written notice delivered by certified mail, return receipt requested, <strong>of</strong> its intent to<br />

make such changes <strong>and</strong> amendments hereunder. Any significant cost impact<br />

associated with such an amendment shall be addressed in developing the<br />

amendment. A significant cost impact is defined as an incremental cost <strong>of</strong><br />

$1,200 annually on a cumulative basis. Such revisions shall be in writing <strong>and</strong><br />

shall be accomplished in the following manner:<br />

5.1 Exhibits A-I, A-III, A-V, A-VI, A-VIII through A-XII, G, J, L, M, N, O, Q, R,<br />

S, T, U, <strong>and</strong> V, may be changed unilaterally by COUNTY to reflect<br />

changes in <strong>County</strong>, State <strong>and</strong> Federal law, regulation, <strong>and</strong> ordinances,<br />

court orders, <strong>and</strong> court rules or in COUNTY policies or procedures,<br />

provided that such changes to these exhibits reflecting modifications to<br />

COUNTY policies or procedures with significant cost impact on<br />

CONTRACTOR must be amended pursuant to Sub-section 5.2.<br />

Amendments made pursuant to this Sub-section 5.1 shall be effective<br />

upon delivery <strong>of</strong> a replacement exhibit by certified mail, return receipt<br />

requested, to the address <strong>of</strong> CONTRACTOR set forth in Part I, Section<br />

8.0, Notices. CONTRACTOR shall be responsible for monitoring changes<br />

<strong>and</strong>/or amendments to any <strong>and</strong> all laws, regulations, ordinances <strong>and</strong>/or<br />

court rules governing or impacting this Contract. CONTRACTOR shall at<br />

all times remain in compliance with all such laws, regulations, ordinances<br />

<strong>and</strong>/or court rules, whether or not COUNTY has delivered a replacement<br />

exhibit.<br />

5.2 For any change which does not have a significant cost impact, affect the<br />

scope <strong>of</strong> work, period <strong>of</strong> performance, payments, or which does not<br />
