3.0 TERM<br />

2.43 “Title 22” – means the California Code <strong>of</strong> Regulations for community care<br />

facilities including group homes.<br />

2.44 “Un-Expended Funds” or “un-Expended” – Means AFDC-FC funds, received<br />

through this Contract, which are retained <strong>and</strong> not spent by CONTRACTOR.<br />

(See Part I, Section 25.0, Real Property, Equipment, Fixed Assets, Sub-section<br />

25.6 <strong>of</strong> this Contract.)<br />

3.1 The term <strong>of</strong> this Contract shall be one (1) year commencing after execution<br />

bythe Director <strong>of</strong> DCFS <strong>and</strong> Probation’s Chief Probation Officer, unless<br />

terminated earlier or extended, in whole or in part, as provided in this Contract.<br />

3.2 The COUNTY shall have the sole option to extend the Contract term for up to<br />

four additional one-year periods <strong>and</strong> for a maximum total Contract term <strong>of</strong> five<br />

years. Each such option <strong>and</strong> extension shall be exercised at the sole discretion<br />

<strong>of</strong> the Director <strong>and</strong> the Chief Probation Officer, provided that approval <strong>of</strong><br />

<strong>County</strong>’s Chief Executive Officer (CEO) is obtained prior to any such extension.<br />

3.3 The term <strong>of</strong> this Contract may also be extended by the Director <strong>of</strong> DCFS by<br />

written notice to the CONTRACTOR sixty (60) days prior to the expiration <strong>of</strong> the<br />

Contract term, after CEO approval, for a period not to exceed six (6) months<br />

beyond October 31, 2012, if such additional time is necessary to complete the<br />

negotiation or solicitation <strong>of</strong> a new Contract.<br />

4.0 PAYMENT RATE<br />

4.1 COUNTY <strong>and</strong> CONTRACTOR agree that payments referenced in this Contract<br />

are based on rates established by California CDSS Foster Care Funding <strong>and</strong><br />

Rates Bureau. During the term <strong>of</strong> this Contract, COUNTY shall compensate<br />

CONTRACTOR for the Services set forth in this Contract <strong>and</strong> in the Statement<br />

<strong>of</strong> Work (Exhibit A), for each Placed Child, at the group home’s RCL rate, as<br />

further described in Part I, Section 7.0, Invoices <strong>and</strong> Payments.<br />

4.2 CONTRACTOR shall submit to COUNTY a current budget (within 15 days <strong>of</strong><br />

request by COUNTY) for the work to be performed under this Contract (Exhibit<br />

C-III). The line items shall provide sufficient detail to determine the Services to<br />

be delivered. Projected expenses in CONTRACTOR’s budget shall be<br />

periodically adjusted based on actual population <strong>and</strong> associated revenues.<br />

CONTRACTOR represents <strong>and</strong> warrants that the budget is true <strong>and</strong> correct in<br />

all respects, based upon information <strong>and</strong> belief available to CONTRACTOR at<br />

the time, <strong>and</strong> Services shall be delivered hereunder in accordance with the<br />

budget. If there is a shift in any line item budget category which exceeds fifteen<br />

percent (15%) <strong>of</strong> the amount budgeted for that category, CONTRACTOR shall<br />
