which prohibits soliciting proxies by using materiallyfalse or misleading statements.Statements of OpinionIn this case, the bank directors stated in theirproxy solicitation “that they had approved the planbecause of its opportunity for the minority shareholdersto achieve a ‘high’ value . . . for theirstock.” The bank directors argue that these phrasesare merely statements of opinion and cannot beconsidered misstatements of material fact withinthe meaning of Rule 14a-9. They further arguethat such statements of opinion do not violateRule 14a-9 when included in a proxy solicitationthat contains statements of fact from which shareholderscan draw their own conclusions. The bankdirectors implied that they did not intend for theminority stockholders to rely heavily upon thestatements included in the proxy solicitation, butinstead assumed that stockholders would beguided by a variety of factors, including their ownpersonal opinions and research, when makingtheir decisions.Reasonable ShareholderRelianceIn rejecting these arguments,the Court observed, “We thinkthere is no room to deny that astatement or belief by corporatedirectors about a recommendedcourse of action . . . can take onjust that importance. Shareholdersknow that directors usuallyhave knowledge and expertnessfar exceeding the normal investor’sresources, and the directors’perceived superiority ismagnified even further by thecommon knowledge that statelaw customarily obliges them to exercise theirjudgment in the shareholders’ interest.” In makingmisleading statements to protect their own interests,the directors had behaved unethically andhad violated the rules issued by the Securities andExchange Commission.Holding Knowingly issuing false statementsby directors of a corporation in a proxy solicitation,even when phrased as opinions and beliefs, may bematerially misleading within the meaning of SECRule 14a-9. These types of statements are misleadingbecause of the confidence placed in the opinionsof directors by the shareholders as a result ofthe shareholders’perception of the directors’knowledgeand expertise. The directors’ positions andknowledge obligate them to make decisions thatwill benefit the corporation and its stockholders.Furthermore, shareholders expect the directors toact in the best interests of the shareholders, as requiredby state law.1.
