the merger of CEE subsidiaries. In this regard we have adjusted to the specific conditions prevailing at local<br />
banks and in local markets. While we are taking a pragmatic approach, a Group-wide IT <strong>pl</strong>atform remains<br />
a long-term objective.”<br />
The WfMS marks a further step towards the automation of<br />
lending processes as it prescribes the right process steps in the<br />
right order and monitors the com<strong>pl</strong>ete and timely execution of<br />
the tasks. The contract generation tool generates all kinds of<br />
contracts (loan agreements and collateral contracts) in a largely<br />
automatic process, and the WfMS provides all the data required<br />
for the respective task.<br />
Ongoing ORG/IT responsibilities<br />
Treasury and Securities Services<br />
The requirements involved in the settlement and administration<br />
of securities transactions increased in both quantitative and in<br />
qualitative terms in 2005. The volume of securities deposited<br />
with the bank increased by 28 % in 2005, fund volume by<br />
19 %. Transaction volumes grew 23 % against the previous<br />
year, and the range of products and services was expanded.<br />
Monthly qualitative monitoring of services rendered resulted in<br />
concrete action to improve process performance. This, in conjunction<br />
with the introduction of Service Level Agreements,<br />
yielded lasting quality improvements.<br />
Em<strong>pl</strong>oyee share ownership programmes are introduced by a<br />
growing number of companies to enable em<strong>pl</strong>oyees to participate<br />
in their company’s performance. In this area we acquired<br />
Bayer Austria as a new customer, Wienerberger mandated us<br />
to manage its stock option <strong>pl</strong>ans and RHI extended its programme<br />
to include em<strong>pl</strong>oyees of its international subsidiaries.<br />
Together with HVB we coordinated Deutsche Telekom’s worldwide<br />
em<strong>pl</strong>oyee participation programme for Austria and CEE.<br />
UniCredit made an offer to acquire all shares of HVB and<br />
BA-CA in the context of the takeover. BA-CA transacted the<br />
exchange of 32 million HVB shares and 26 million BA-CA<br />
shares for UniCredit shares, while also acting as tender agent<br />
for the offer relating to BA-CA shares.<br />
In 2005 tax law amendments required the introduction of an<br />
Austrian withholding tax on yields of foreign investment funds<br />
as well as the EU withholding tax. New challenges will arise in<br />
2006 with the im<strong>pl</strong>ementation of the MiFID (Markets in Financial<br />
Instruments Directive), which regulates the legal frame-<br />

work under which financial services are rendered. The directive’s<br />
aim is to increase transparency for customers while at the<br />
same time creating a level <strong>pl</strong>aying field for banks and<br />
exchanges in securities trading.<br />
Global Procurement<br />
The successful model of multinational cooperation among the<br />
purchasing units in Germany, Poland and Austria was expanded<br />
further in 2005 without extra costs. Bundled tendering at<br />
the international level for different products like computers,<br />
paper, waste disposal and software made a substantial contribution<br />
to improving the cost position.<br />
Procurement in CEE was mainly managed from Austria in line<br />
with priorities defined by the objective of generating economies<br />
of scale and enabling access to participation in international<br />
framework agreements. Benchmarks were established for international<br />
cooperation and the processes were im<strong>pl</strong>emented in<br />
line with the best practice approach, thus streamlining processes<br />
and optimising procurement costs (purchasing prices and<br />
operating costs). A purpose-built web-based tendering tool for<br />
IT hardware guarantees swift and transparent settlement of<br />
transactions while considerably reducing time to market.<br />
