5.1.11 Council of Governors Meetings Structure<br />

<strong>The</strong> Council of Governors has established the following working groups: -<br />

• Finance Working Group<br />

• Membership Working Group<br />

• Nominations <strong>and</strong> Remuneration Working Group<br />

• Patient Experience Working Group<br />

<strong>The</strong> purpose of the working groups is to inform governors about activities <strong>and</strong> issues relevant to each<br />

area <strong>and</strong> provide an opportunity for governors to seek further information. <strong>The</strong>y allow governors a<br />

means of influencing decisions <strong>and</strong> provide a vehicle for challenge <strong>and</strong> scrutiny of action <strong>and</strong> activities<br />

by the Board.<br />

In addition there is an <strong>Annual</strong> Members Meeting where the annual report <strong>and</strong> accounts are presented.<br />

At this meeting governors are briefed on the overall performance of the Trust in the previous year <strong>and</strong><br />

the governors provide feedback to the Board of Directors.<br />

<strong>The</strong> meetings structure of the Council of Governors is shown below.<br />

Membership<br />

Working Group<br />

This group meets<br />

quarterly to discuss<br />

the Trust’s<br />

membership<br />

demographic <strong>and</strong><br />

how to increase<br />

membership <strong>and</strong><br />

engaged with<br />

members. This<br />

group oversees the<br />

progress of the<br />

membership<br />

strategy.<br />

Nominations <strong>and</strong><br />

Remuneration<br />

Working Group<br />

This group meets<br />

as necessary,<br />

however as a<br />

minimum at least<br />

two meetings<br />

should be held per<br />

year. <strong>The</strong> Group<br />

receives reports on<br />

the appraisals of the<br />

Chairman <strong>and</strong> the<br />

Non-Executive<br />

Directors.<br />

Patient<br />

Experience<br />

Working Group<br />

This group meets<br />

quarterly to discuss<br />

areas of<br />

improvement for the<br />

patient experience.<br />

This group also<br />

considers the Trust’s<br />

quality accounts <strong>and</strong><br />

PICKER survey<br />

results. Any aspects<br />

relating to patient<br />

safety <strong>and</strong><br />

experience are fed<br />

back to the Council<br />

of Governors.<br />
