_________________LEE UNIVERSITY FACULTY HANDBOOK & CONSTITUTION_________________FACULTY CONSTITUTION AND BYLAWSPreambleHaving been nominated by the President and appointed by the Board of Directorsfor the conduct of instruction, research, and all other facets of the academic program, themembers of the Faculty of Lee University establish this Constitution and Bylaws for thebetter discharge of their responsibilities, as they are indicated by the Charter of theUniversity, delegated by the Board of Directors through the President.ARTICLE I. MEMBERS OF THE FACULTYSection 1. Voting MembersThe President of the university and full-time personnel who hold academic rank oflecturer or above shall constitute the voting members of the faculty.Section 2. Associate MembersNon-ranked members of the Cabinet, Administrative Staff and adjunct faculty shallconstitute the associate members. Associate members attend faculty meetings, but theprivilege of speaking on issues extends only to voting members except by invitation of thepresiding officer.Section 3. Emeritus MembersThe emeritus members of the faculty shall have the privilege of associate members.ARTICLE II. OFFICERS OF THE FACULTYSection 1. Presiding OfficerThe President or the Vice President for Academic Affairs shall preside at all regularmeetings of the University Faculty. When necessary, a voting member of the faculty shallbe designated by the President as presiding officer pro-tem.Section 2. Secretary of the FacultyThe Vice President for Academic Affairs shall appoint annually a secretary of the facultywho shall keep a record of the proceedings, promptly distribute the minutes of eachmeeting, and attest to the accuracy of all recorded actions of the faculty. The secretaryshall assume office at the first regular meeting of the faculty in each academic year. Inthe event the secretary is absent, the presiding officer shall appoint an acting secretaryfor the meeting.Section 3. Parliamentarian of the FacultyThe President shall appoint annually from the voting members of the faculty aParliamentarian who shall advise the presiding officer and members of the faculty as tothe proper conduct of faculty concerns in accordance with this Constitution, Bylaws, andother parliamentary rules as may be adopted. (Robert’s Rules of Order Newly Revisedshall be followed). The Parliamentarian shall assume office at the first regular meeting ofthe faculty in each academic year.4 - 1 Faculty Constitution and Bylaws

Regular MeetingsThe University Faculty shall meet in regular session once each month during theacademic term.Section 2. Special MeetingsSpecial meetings may be called by the President or Vice President for Academic Affairs.Three days prior to the meeting date notice shall be given to the faculty except in casesof emergency.Section 3. QuorumIn all meetings of the faculty, a majority of the voting members shall constitute a quorum.All substantive questions at issue, excepting amendments to this Constitution and theadoption or amendment of Bylaws, shall be decided by a simple majority of the votingmembers present and voting. Amendments to the Constitution and Bylaws shall require atwo-thirds vote of those present and voting, and the approval of the Board of Directors.Any voting member may request a secret ballot for the entire faculty on a given item. Thisrequest shall be granted unless there is an objection by a voting member, in which case asimple majority vote of all those present shall be required for the secret ballot motion tobe denied.Section 4. AgendaThe Vice President for Academic Affairs shall distribute the agenda three workdayspreceding each regular meeting of the faculty. Individual faculty members may submitproposals in writing to the Vice President for Academic Affairs, who in turn may submitthese items and/or proposals to the President for inclusion in the agenda.Recommendations shall be considered a part of the agenda and curriculum items not onthe agenda may not be acted upon by the faculty until a second reading at a subsequentmeeting of the faculty.Section 5. Powers and Duties of the FacultyA. The faculty, in conjunction with the administration and Board of Directors, is entrustedwith the conduct of the academic programs of the university and has responsibility insuch fundamental areas as curriculum, subject matter and methods for instruction,research, faculty status and welfare, and those aspects of student life which relate tothe educational process. In matters wherein the power of review or final decisionlodged in the Board of Directors or delegated by it to the President is exercisedadversely, the faculty shall have opportunity of transmittal of its views to the Presidentor to the Board of Directors.B. The faculty shall establish the requirements for all degrees offered and for coursework required. In the case of honorary degrees, the faculty will enjoy the privilege ofrecommendations of the same.C. The faculty shall recommend to the administration and/or Board of Directors on allmatters indirectly but substantially related to those areas in which the faculty hasresponsibility or vital concern, as in the selection of the President of the university, theVice President for Academic Affairs, deans, and department chairpersons; theformulation of the annual budget of the university; and the establishment ofadministrative policy.4 – 2 Faculty Constitution and Bylaws
