Regular MeetingsThe <strong>University</strong> <strong>Faculty</strong> shall meet in regular session once each month during theacademic term.Section 2. Special MeetingsSpecial meetings may be called by the President or Vice President for Academic Affairs.Three days prior to the meeting date notice shall be given to the faculty except in casesof emergency.Section 3. QuorumIn all meetings of the faculty, a majority of the voting members shall constitute a quorum.All substantive questions at issue, excepting amendments to this <strong>Constitution</strong> and theadoption or amendment of Bylaws, shall be decided by a simple majority of the votingmembers present and voting. Amendments to the <strong>Constitution</strong> and Bylaws shall require atwo-thirds vote of those present and voting, and the approval of the Board of Directors.Any voting member may request a secret ballot for the entire faculty on a given item. Thisrequest shall be granted unless there is an objection by a voting member, in which case asimple majority vote of all those present shall be required for the secret ballot motion tobe denied.Section 4. AgendaThe Vice President for Academic Affairs shall distribute the agenda three workdayspreceding each regular meeting of the faculty. Individual faculty members may submitproposals in writing to the Vice President for Academic Affairs, who in turn may submitthese items and/or proposals to the President for inclusion in the agenda.Recommendations shall be considered a part of the agenda and curriculum items not onthe agenda may not be acted upon by the faculty until a second reading at a subsequentmeeting of the faculty.Section 5. Powers and Duties of the <strong>Faculty</strong>A. The faculty, in conjunction with the administration and Board of Directors, is entrustedwith the conduct of the academic programs of the university and has responsibility insuch fundamental areas as curriculum, subject matter and methods for instruction,research, faculty status and welfare, and those aspects of student life which relate tothe educational process. In matters wherein the power of review or final decisionlodged in the Board of Directors or delegated by it to the President is exercisedadversely, the faculty shall have opportunity of transmittal of its views to the Presidentor to the Board of Directors.B. The faculty shall establish the requirements for all degrees offered and for coursework required. In the case of honorary degrees, the faculty will enjoy the privilege ofrecommendations of the same.C. The faculty shall recommend to the administration and/or Board of Directors on allmatters indirectly but substantially related to those areas in which the faculty hasresponsibility or vital concern, as in the selection of the President of the university, theVice President for Academic Affairs, deans, and department chairpersons; theformulation of the annual budget of the university; and the establishment ofadministrative policy.4 – 2 <strong>Faculty</strong> <strong>Constitution</strong> and Bylaws
