MAY 2009SOLICITATION FOR OFFERS OUTPATIENT CLINIC <strong>SFO</strong> NO. VA-101-XX-RP-XXXX[INSERT LOCATION OF FACILITY]3.8.2 APPLICABLE TO CHANGES COSTING $500,000 OR LESSA. Proposals for ChangesWhen requested by the Contracting <strong>Office</strong>r, the contractor shall submit proposals for changesin work to the Contracting <strong>Office</strong>r or designee. Proposals, to be submitted within 30 calendardays after receipt <strong>of</strong> request, shall be in legible form, original and two copies, with an itemizedbreakdown that will include material, quantities, unit prices, labor costs (separated into trades),construction equipment, etc. (Labor costs are to be identified with specific material placed oroperation performed.) The contractor must obtain and furnish with a proposal an itemizedbreakdown as described above, signed by each subcontractor participating in the change,regardless <strong>of</strong> tier. When requested by the Contracting <strong>Office</strong>r, the contractor and eachsubcontractor participating in the change, regardless <strong>of</strong> tier, shall execute a Certificate <strong>of</strong>Current Cost or Pricing Data in accordance with FAR 15-406-2. For proposals over $100,000,the cost or pricing data shall be submitted in accordance with the instructions in Table 15-2 <strong>of</strong>FAR 15-403-5 in the format indicated for "Modifications" //or other format acceptable to theContracting <strong>Office</strong>r//. No itemized breakdown will be required for proposals amounting to lessthan $1,000.B. Tentative PricingWhen the necessity to proceed with a change does not allow sufficient time to negotiate amodification or if there is a failure to reach an agreement, the Contracting <strong>Office</strong>r may issue achange order instructing the contractor to proceed on the basis <strong>of</strong> a tentative price based onthe best estimate available at the time, with the firm price to be determined later. Furthermore,when the change order is issued, the contractor shall submit a proposal for cost <strong>of</strong> changes inwork within 30 calendar days.C. Settlement By DeterminationThe Contracting <strong>Office</strong>r will consider issuing a settlement by determination to the contract, ifthe contractor’s proposal required by paragraphs (a) and (b) <strong>of</strong> this clause is not receivedwithin 30 calendar days, or if agreement has not been reached.D. Allowances for Overhead and Pr<strong>of</strong>itAllowances not to exceed 10% each for overhead and pr<strong>of</strong>it for the party performing the workwill be based on the value <strong>of</strong> labor, material, and use <strong>of</strong> construction equipment required toaccomplish the change. As the value <strong>of</strong> the change increases, a declining scale will be usedin negotiating the percentage <strong>of</strong> overhead and pr<strong>of</strong>it. Allowable percentages on changes willnot exceed the following: 10% overhead and 10% pr<strong>of</strong>it on the first $20,000 7-1/2% overhead and 7-1/2% pr<strong>of</strong>it on the next $30,000 5% overhead and 5% pr<strong>of</strong>it on balance over $50,000Pr<strong>of</strong>it shall be computed by multiplying the pr<strong>of</strong>it percentage by the sum <strong>of</strong> the direct costs andcomputed overhead costs.E. Allowable Fee On ChangesThe prime contractor’s or upper-tier subcontractor’s fee on work performed by lower-tiersubcontractors will be based on the net increased cost to the prime contractor or upper-tiersubcontractor, as applicable.
