F<strong>in</strong>ally, <strong>the</strong> technology transfer activity can be structured to provide <strong>the</strong> agency or<br />

<strong>in</strong>stitution with a degree of <strong>in</strong>sulation from loss.<br />

The manner through which an agency or <strong>in</strong>stitution engages <strong>in</strong> technology transfer<br />

activities has a great deal to do with its ability to control <strong>the</strong> risks aris<strong>in</strong>g out of those<br />

ef<strong>for</strong>ts. The organizational, loss shift<strong>in</strong>g <strong>and</strong> structural issues beg<strong>in</strong> well be<strong>for</strong>e <strong>the</strong> terms<br />

of a licens<strong>in</strong>g agreement or jo<strong>in</strong>t venture are developed. Indeed, <strong>the</strong>y start with <strong>the</strong><br />

degree to which <strong>the</strong> agency or <strong>in</strong>stitution exercises control over <strong>the</strong> technology transfer<br />

process, beg<strong>in</strong>n<strong>in</strong>g with <strong>the</strong> rules govern<strong>in</strong>g <strong>the</strong> conduct of <strong>in</strong>vestigators <strong>and</strong> <strong>the</strong>ir<br />

relationship with <strong>and</strong> responsibilities to <strong>the</strong>ir agency or <strong>in</strong>stitution, <strong>and</strong> <strong>the</strong>y cont<strong>in</strong>ue<br />

through every step of <strong>the</strong> technology transfer process. Nor does any one approach<br />

guarantee absolute protection. Ra<strong>the</strong>r, it is <strong>the</strong> comb<strong>in</strong>ation of methods of risk<br />

identification <strong>and</strong> control that can be provide an <strong>in</strong>stitution with <strong>the</strong> protection it requires.<br />

A. MANAGEMENT OF TECHNOLOGY TRANSFER<br />

The organization of an agency or <strong>in</strong>stitution contributes significantly to its ability to<br />

identify <strong>and</strong> control risks aris<strong>in</strong>g out of technology transfer, as well as its ability to identify<br />

<strong>and</strong> exploit <strong>the</strong> benefits of such activities. Assur<strong>in</strong>g that <strong>the</strong> organizational components<br />

<strong>and</strong> policies are appropriate to <strong>the</strong> agency or <strong>in</strong>stitution is an essential first step. The only<br />

th<strong>in</strong>g worse than not hav<strong>in</strong>g an appropriate management structure is putt<strong>in</strong>g <strong>the</strong> structure<br />

<strong>in</strong> place <strong>and</strong> <strong>the</strong>n ignor<strong>in</strong>g it <strong>in</strong> practice.<br />

The key organizational <strong>and</strong> management control elements <strong>in</strong>clude:<br />

1. The existence of comprehensive, agency or Institution wide policies<br />

on <strong>in</strong>tellectual property <strong>and</strong> technology transfer, <strong>and</strong> assurance that<br />

<strong>the</strong> policies govern<strong>in</strong>g <strong>the</strong> conduct of professional personnel<br />

adequately address <strong>the</strong> issue of rights to all <strong>for</strong>ms of discoveries <strong>and</strong><br />

provide st<strong>and</strong>ards <strong>for</strong> <strong>and</strong> require disclosure of <strong>in</strong>terests <strong>in</strong> any<br />

commercial ventures which are <strong>in</strong> any fashion related to an <strong>in</strong>vestigator's<br />

research activities.<br />

2. The existence of an agency- or <strong>in</strong>stitution-wide office with responsibility<br />

<strong>for</strong> <strong>the</strong> oversight of all technology transfer activities.<br />

3. Assurance that all agreements <strong>for</strong> technology transfer, Includ<strong>in</strong>g<br />

sponsored research, are subject to review <strong>and</strong> approval by qualified<br />

counsel.<br />

4. Assurance that each discovery is evaluated to determ<strong>in</strong>e it patentability<br />

or protection under copyright laws, <strong>and</strong> that <strong>the</strong> agency or<br />

Institution provides an expeditious <strong>and</strong> professionally managed<br />

mechanism <strong>for</strong> <strong>the</strong> assertion of such rights.<br />
