C. INVOLVEMENT IN THE COMMERCIALIZATION PROCESS<br />

The alternative to licens<strong>in</strong>g <strong>the</strong> rights to commercialize a discovery is <strong>the</strong><br />

<strong>in</strong>volvement of <strong>the</strong> agency or <strong>in</strong>stitution <strong>in</strong> <strong>the</strong> actual commercialization process, ei<strong>the</strong>r by<br />

br<strong>in</strong>g<strong>in</strong>g <strong>the</strong> product to market itself or <strong>in</strong> enter<strong>in</strong>g <strong>in</strong>to some <strong>for</strong>m of jo<strong>in</strong>t venture with one<br />

or more outside entities. Instead of assum<strong>in</strong>g <strong>the</strong> traditional role of pass<strong>in</strong>g <strong>the</strong> discovery<br />

to a commercial entity through <strong>the</strong> vehicle of a license, leav<strong>in</strong>g to that entity <strong>the</strong> risks -<strong>and</strong><br />

<strong>the</strong>re<strong>for</strong>e most of <strong>the</strong> benefit -- attendant to commercialization, an <strong>in</strong>creas<strong>in</strong>g number<br />

of agencies <strong>and</strong> <strong>in</strong>stitutions are ma<strong>in</strong>ta<strong>in</strong><strong>in</strong>g an operational <strong>in</strong>volvement with <strong>the</strong> discovery<br />

through all or most of <strong>the</strong> commercialization process. On <strong>the</strong> one h<strong>and</strong>, this approach<br />

allows <strong>the</strong> <strong>in</strong>stitution to substantially <strong>in</strong>crease its share of <strong>the</strong> value of <strong>the</strong> discovery. At<br />

<strong>the</strong> same time, <strong>the</strong> direct <strong>in</strong>volvement <strong>in</strong> commercial activity opens <strong>the</strong> <strong>in</strong>stitution to risks<br />

that are ei<strong>the</strong>r not present or m<strong>in</strong>imal <strong>in</strong> <strong>the</strong> context of passive licens<strong>in</strong>g.<br />

This is not to say that <strong>in</strong>stitutions ought not consider direct <strong>in</strong>volvement <strong>in</strong><br />

commercialization. The benefits that can attend such ef<strong>for</strong>ts may be considerable, <strong>and</strong><br />

<strong>for</strong> certa<strong>in</strong> types of discoveries <strong>the</strong> ongo<strong>in</strong>g <strong>in</strong>volvement of <strong>the</strong> <strong>in</strong>stitution can play a<br />

critical role <strong>in</strong> <strong>the</strong> success of <strong>the</strong> commercialization process.<br />
