together with the names of the proposer and seconder who must be members of the<br />
Council. <strong>The</strong> written consent of the person nominated must be submitted with the<br />
nomination.<br />
17.2 Persons retiring from membership of the Executive shall be eligible for re-election and,<br />
subject to their approval, shall be deemed to be validly nominated for re-election.<br />
17.3 In any case where there is a vacancy for a specified number, and the nominations do<br />
not exceed that number, no ballot shall be held, but those nominated shall be<br />
declared elected.<br />
17.4 If a ballot is necessary the Secretary shall notify all members of the Council of the<br />
details of such nominations by causing voting papers containing details of the<br />
positions to be filled and the surnames, given names and place of residence of each<br />
nominee, such voting papers to be prepared and despatched to such members not<br />
less than twenty-eight days before the date of the Annual General Meeting to enable<br />
members of the Council to vote on such nominations by postal ballot which shall close<br />
at the office of the Association at 12.00 noon on the tenth day before the day of the<br />
Annual General Meeting.<br />
17.5 <strong>The</strong> Executive shall appoint two persons to act as Scrutineers and the declaration of<br />
such Scrutineers of the result of the postal ballot notified through the Secretary shall<br />
be accepted by the National Council as final.<br />
17.6 In the event of an equal number of votes being cast for the last vacancy or vacancies<br />
to be filled on the Executive the candidate or candidates to fill such vacancy or<br />
vacancies shall be determined by lot in the presence of the Scrutineers.<br />
ALTERATION OF BY-LAWS<br />
18. (a) <strong>The</strong> Constitution and these By-laws may be altered as follows: -<br />
either<br />
(i)<br />
or<br />
(ii)<br />
By any Council member giving notice in writing of any desired alteration to<br />
the Secretary who shall bring the same before the next properly<br />
constituted meeting of the Executive. If the proposed alteration is<br />
recommended by the Executive it shall be submitted for the consideration<br />
of the Council.<br />
By any Council member giving notice in writing of any desired alterations<br />
to the Secretary and if such proposed alteration is supported in writing by<br />
at least 15 members of the Council it shall be submitted for the<br />
consideration of the Council.<br />
(b)<br />
Notice of the resolution to give effect to the proposed alteration shall be given in<br />
the notice of the meeting.<br />
19. Any proposed alteration in the Constitution or these By-laws recommended by the<br />
Executive under By-law 18 (a)(i) hereof or brought before the Council under By-law<br />
18 (a)(ii) hereof shall be considered by the Council which may vary or amend the<br />
proposed alteration. No such alteration to the Constitution or these By-laws shall be<br />
made or come into effect except by resolution of the Council at a properly constituted<br />
meeting at which the proposed alteration is considered and then only, in the case of<br />
alterations to the Constitution with the approval of two-thirds of the members present<br />
and in the case of alterations to these By-laws by a majority of two-thirds of the total<br />
votes exercised.<br />
POLICY, ORGANISATION AND RULES<br />
20. <strong>The</strong> "Policy, Organisation and <strong>Rule</strong>s" heretofore used and adopted by the Association<br />
shall continue in force. <strong>The</strong>y may be repealed, varied, added to or amended by<br />
