responsible for the management of the affairs of the Association in accordance with its<br />
established policy.<br />
<strong>The</strong> Chief Executive shall:<br />
(i) Promote and co-ordinate the activities of all National Committees, National<br />
personnel and Regional Development Managers in order to ensure the efficient<br />
administration, general welfare, progress and development of the Movement in<br />
New Zealand.<br />
(ii) Maintain close liaison with the National Chairman, particularly in regard to<br />
matters of major policy.<br />
(iii) Attend meetings of the National Council and the Executive.<br />
25. SECRETARY: <strong>The</strong> Executive shall appoint a National Secretary. This officer shall be the<br />
Secretary of the National Council and the Executive. Under the direction of the Chief<br />
Executive, and subject to the provisions of the By-laws, the National Secretary shall<br />
carry out the functions set out in these By-laws and perform such other duties as may<br />
be prescribed by the Council and the Executive.<br />
26. FINANCIAL REPORTING: <strong>The</strong> Executive shall appoint a person who shall be a member<br />
of the Executive, who in liaison with the Chief Executive, shall ensure that true<br />
accounts of the National Office of the Association are kept and shall perform such<br />
other duties as agreed at the time of appointment. Annual financial statements<br />
together with the Auditor’s report shall be submitted to the Executive for its approval<br />
and presentation to the Annual General Meeting of the Council.<br />
27. AUDITORS: <strong>The</strong> Council shall appoint Auditors on the recommendation of the<br />
Executive and such Auditors shall hold office until the close of the next following<br />
Annual General Meeting. <strong>The</strong> Executive shall fix the remuneration of the Auditors and<br />
shall have power to fill casual vacancies in this office. It shall be the duty of every<br />
officer and servant of the Association to give the Auditors such information and<br />
explanations as the Auditors may require.<br />
28. ADVISERS: <strong>The</strong> Executive may appoint such Medical, Legal or other Advisers as may<br />
from time to time be considered desirable and may fix the remuneration of such<br />
Advisers and shall give due consideration to any recommendation of the Advisers.<br />
29. PATRONS: <strong>The</strong> Council may appoint any persons to hold office as a Patron of the<br />
Movement in New Zealand. Patrons shall be honorary members of the Council, but<br />
without voting rights.<br />
30. LIFE MEMBERS: <strong>The</strong> Council may, on the recommendation of the executive, appoint<br />
any person who has given long and outstanding service to the Association as a Life<br />
Member of the Association. Such persons shall have the right to attend and speak but<br />
not to vote at meetings of the Council. Life Membership shall be limited to 50 persons<br />
appointed for the duration of their lifetime.<br />
31. Any of the Officers, other than Life members, appointed pursuant to these By-laws<br />
shall cease to hold such office if: -<br />
(a) By notice in writing to the Secretary they resign, or<br />
(b) <strong>The</strong>y become permanently incapacitated, or<br />
(c) <strong>The</strong>y become bankrupt or temporarily or permanently of unsound mind.<br />
<strong>The</strong> Chief Scout of New Zealand shall be advised immediately that the office of the<br />
National Chairman is vacant.<br />
