4.6 <strong>The</strong> Chairman shall have a casting as well as a deliberative vote.<br />

4.7 A quorum shall consist of ten members personally present.<br />

5. <strong>The</strong>re shall be held each year an Annual General Meeting of the Council at a date and<br />

place to be fixed in accordance with By-Law 8 hereof with power nevertheless to the<br />

National Executive Committee to alter the place and date so fixed.<br />

6. Subject to limitations of space any member of the Association shall be eligible to<br />

attend and speak but not to vote at the Annual General Meeting of the Council by<br />

notifying the Secretary in writing pursuant to any notice calling the meeting.<br />

7. At least twenty-eight days' notice in writing of any meeting shall be given by the<br />

Secretary to all members of the Council, and, in the case of an Annual General<br />

Meeting, to all Regions and Zones. <strong>The</strong> accidental omission to give notice of a meeting<br />

of the Council to any Council member, Region or Zone shall not invalidate anything<br />

done at such meeting.<br />

8. <strong>The</strong> business of the Annual General Meeting of the Council shall be: -<br />

To receive and adopt the Annual Report of the Association submitted to it by the<br />

Executive.<br />

To receive and adopt the Annual Financial Statements.<br />

To receive from the Secretary the Declaration of the Scrutineers.<br />

To fix the date and place for the following year's Annual General Meeting.<br />

To deal with such other business as notified to members in the notice convening<br />

the meeting.<br />

To consider and, if thought fit, refer to the Executive Committee any other<br />

business of which written notice is given to the Secretary prior to the<br />

commencement of the meeting. <strong>The</strong> action taken by the Executive shall be<br />

reported to the next meeting of the Council.<br />

9. (a) An ordinary meeting of the Council shall be called at any time by the Secretary<br />

at the written request of the National Chairman, or fifteen members of the<br />

Council, or by resolution of the Executive.<br />

(b)<br />

<strong>The</strong> business to be to be transacted at an ordinary meeting of the Council shall<br />

be notified to members on the notice convening the meeting at which it is to be<br />

considered.<br />

10. REGION REPRESENTATIVES<br />

10.1 Each Region shall elect five persons to be members of the National Council. Two<br />

persons must be under the age of 26 as at the date of nomination. Three other<br />

persons may be of any age 18 and over as at the date of nomination.<br />

10.2 Any person who has attained the age of 18 years who is a member of a Scout Group,<br />

all persons who hold a current warrant and all persons who are serving as a member<br />

of an established committee or holding a Zone or Region lay appointment prior to the<br />

date of election shall be eligible for election as Region Representatives.<br />

For the purpose of this by-law a Scout Group shall consist of one or more units of<br />

Keas, Cubs, <strong>Scouts</strong>, Venturers or Rovers as registered at the most recent annual<br />

census.<br />

Employees of the Association are not eligible to vote or to be elected.<br />
