B.16 To do all such other acts and things as are or may be deemed incidental or conducive<br />
to the attainment of any of the purposes of the Association or the exercise of any of<br />
its said powers.<br />
C. No part of the Association's funds may be spent or applied other than for, an<br />
exclusively charitable purpose within New Zealand, except for the payment of such<br />
costs and expenses which are incidental or conducive to the attainment or promotion<br />
of the Association's charitable purpose. Nothing contained or implied in this<br />
Constitution or in the By-Laws of the Association shall be deemed to authorise, and no<br />
power conferred by this Constitution or the By-Laws shall be capable of being<br />
exercised in such a way as to cause an application of funds in contravention of the<br />
aforesaid.<br />
D. Other than for the purposes specified in paragraph B.13 of this Constitution no<br />
member of the Association shall be entitled to receive or enjoy any pecuniary benefit<br />
by virtue of such membership.<br />
E. <strong>The</strong> Constitution and General Policy of the Association is determined by a National<br />
Council representing members of the Association. <strong>The</strong> Association is governed by a<br />
National Executive Committee appointed by the National Council and constituted in<br />
such manner and with such powers and duties as may be prescribed by or in<br />
accordance with the by-laws made as hereinafter provided. <strong>The</strong> Association is<br />
managed by a Chief Executive appointed by the National Executive Committee.<br />
F. This Constitution may be repealed, varied, added to or amended in the manner<br />
prescribed by By-Laws 18 and 19 PROVIDED HOWEVER that no amendment shall be<br />
made at any time so as to cause the Association to cease to be a charitable body.<br />
G. In the event of the Association being wound up or otherwise dissolved the surplus<br />
assets after payment of the Association's liabilities and expenses shall be disposed of<br />
to such other charitable body within New Zealand whose objects are for similar<br />
charitable purposes according to the law of New Zealand as the Association may<br />
resolve.<br />
BY-LAWS<br />
INTERPRETATION CLAUSE<br />
1. In these By-laws unless the context requires a different construction: -<br />
"<strong>The</strong> Association" means <strong>The</strong> Scout Association of New Zealand as incorporated by<br />
<strong>The</strong> Scout Association of New Zealand Act, 1956.<br />
"Policy, Organisation and <strong>Rule</strong>s" means the Policy, Organisation and <strong>Rule</strong>s of the<br />
Association as at present in operation amended from time to time.<br />
NATIONAL COUNCIL<br />
2. <strong>The</strong>re shall be a Council to be called the National Council referred to in these By-laws<br />
as "<strong>The</strong> Council" comprising the following: -<br />
2.1 Ex-officio: Chief Scout<br />
National Chairman<br />
National Commissioner<br />
Members of the National Executive Committee<br />
International Commissioner<br />
National Kea, Cub, Scout, Venturer and Rover Leaders<br />
National President of GirlGuiding New Zealand<br />
Immediate Past National Chairman<br />
