On December 31, <strong>20</strong>10, our issued share capital amounted to € 2,379,519,078 divided into 929,499,640 no<br />

par value ordinary registered shares.<br />

On December 31, <strong>20</strong>10, we had 640,623 registered shareholders. The majority of our shareholders are retail<br />

investors in Germany.<br />

The following charts show the distribution of our share capital and the composition of our shareholders on<br />

December 31, <strong>20</strong>10.<br />

On February 25, <strong>20</strong>11, a total of 129,755,594 of our shares were registered in the names of 1,565 shareholders<br />

resident in the United States. These shares represented 13.96 % of our share capital on that date. On December<br />

31, <strong>20</strong>09, a total of 97,880,565 of our shares were registered in the names of 1,501 shareholders resident<br />

in the United States. These shares represented 15.77 % of our share capital on that date.<br />

The German Securities Trading Act (Wertpapierhandelsgesetz) requires investors in publicly-traded corporations<br />

whose investments reach certain thresholds to notify both the corporation and the BaFin of such change within<br />

seven days. The minimum disclosure threshold is 3 % of the corporation’s issued voting share capital.<br />

As of February 28, <strong>20</strong>11, we have been notified by the following investors that they hold 3 % or more of our shares:<br />

Credit Suisse Group, Zurich holds 3.86 % of our shares (via financial instruments) and BlackRock, Inc., New York<br />

holds 5.14 % of our shares.<br />

We are neither directly nor indirectly owned nor controlled by any other corporation, by any government or by<br />

any other natural or legal person severally or jointly.<br />

Pursuant to German law and our Articles of Association, to the extent that we may have major shareholders at<br />

any time, we may not give them different voting rights from any of our other shareholders.<br />

We are aware of no arrangements which may at a subsequent date result in a change in control of our company.
