At December 31, <strong>20</strong>10, CIB included two corporate divisions, comprising the following business divisions:<br />

— Corporate <strong>Bank</strong>ing & Securities Corporate Division (CB&S)<br />

— Corporate Finance<br />

— Markets (formerly known as Global Markets)<br />

— Global Transaction <strong>Bank</strong>ing Corporate Division (GTB)<br />

— Trade Finance and Cash Management Corporates<br />

— Trust & Securities Services and Cash Management Financial Institutions<br />

CB&S includes the Business Division Corporate Finance, which includes Investment <strong>Bank</strong>ing Coverage and<br />

Advisory, and Capital Markets. These businesses focus on providing advisory, equity and debt financing and<br />

(in conjunction with Markets) risk management and structuring services to corporates, financial institutions,<br />

financial sponsors, governments and sovereigns.<br />

CB&S also includes our debt and equity sales and trading businesses, which are housed in our Markets Business<br />

Division. Markets is composed of two areas: Coverage and Products. Coverage includes the Institutional Client<br />

Group, Research and Structuring. Products includes Credit (including commercial real estate) and Emerging<br />

Markets, Equities, Global Finance and Foreign Exchange and Rates and Commodities.<br />

GTB is a separately managed corporate division, providing trade finance, cash management and trust & securities<br />

services.<br />

The CIB businesses are supported by the Loan Exposure Management Group (LEMG). LEMG has responsibility<br />

for a range of loan portfolios, actively managing the risk of these through the implementation of a structured<br />

hedging regime. LEMG also prices and manages risks in the leveraged syndication pipeline.<br />

Corporate <strong>Bank</strong>ing & Securities Corporate Division<br />

Corporate Division Overview<br />

CB&S is made up of the business divisions Corporate Finance and Markets. These businesses offer financial<br />

products worldwide including the underwriting of stocks and bonds, trading services for investors and the tailoring<br />

of solutions for companies’ financial requirements.<br />

On April 1, <strong>20</strong>09, management responsibility for The Cosmopolitan of Las Vegas property changed from CB&S<br />

to the group division Corporate Investments.<br />

Products and Services<br />

Within our Corporate Finance Business Division, our clients are offered mergers and acquisitions, equity and<br />

debt financing and general corporate finance advice. In addition, we provide a variety of financial services to<br />

the public sector.<br />

The Markets Business Division is responsible for the sales, trading and structuring of a wide range of fixed income,<br />

equity, equity-linked, foreign exchange and commodities products. The division aims to deliver solutions to the<br />

investing, hedging and other needs of customers.
