Under Dodd-Frank, our entities that are swap dealers, security-based swap dealers, major swap participants or<br />

major security-based swap participants will be required to register with the <strong>SEC</strong> or CFTC, or both, and will become<br />

subject to the requirements as to capital, margin, business conduct, recordkeeping and other requirements applicable<br />

to such entities. The details of these requirements will be established through numerous regulations to be<br />

issued by various U.S. regulatory authorities.<br />

Organizational Structure<br />

We operate our business along the structure of our three group divisions. <strong>Deutsche</strong> <strong>Bank</strong> AG is the direct or<br />

indirect holding company for our subsidiaries. The following table sets forth the significant subsidiaries we own,<br />

directly or indirectly. We used the three-part test set out in Section 1-02 (w) of Regulation S-X under the U.S.<br />

Securities Exchange Act of 1934 to determine significance. We do not have any other subsidiaries we believe<br />

are material based on other, less quantifiable, factors. We have provided information on the principal subsidiaries<br />

of Taunus Corporation and DB Valoren S.á.r.l. to give an idea of their businesses.<br />

We own 100 % of the equity and voting interests in these subsidiaries, except for <strong>Deutsche</strong> Postbank AG, of which<br />

we own shares representing 52.03 % of the equity and voting rights as of December 31, <strong>20</strong>10, and, taking into<br />

account certain financial instruments held by us, a total equity interest of 79.45 %. These subsidiaries prepare<br />

financial statements as of December 31, <strong>20</strong>10 and are included in our consolidated financial statements. Their<br />

principal countries of operation are the same as their countries of incorporation.<br />

exposure management group, and private banking.<br />

6 This company is a holding company for our subgroups in Australia, New Zealand, and Singapore. It is also the holding company for DB Equity S.á.r.l.<br />

7 The company is the holding company for a part of our stake in <strong>Deutsche</strong> Postbank AG.<br />

8 The business activities of this company comprise retail banking, business with corporate customers, money and capital markets activities as well as home savings loans.
