14.1.2 Information on the directors<br />

14.1.2.1 Biographies, terms of office and shares held<br />

This Section primarily details the directorships and offi ces held in any <strong>com</strong>pany by our directors, as required by Article L. 225-102-1 of<br />

the French Commercial Code. The information provided in this section is given to the best of the Company’s knowledge.<br />

The Shareholders’ Meeting on May 26, <strong>2009</strong> set the number of shares to be held by each director elected by the Shareholders’<br />

Meeting to 1,000, except the Director representing employee shareholders, who is exempt in accordance with the law.<br />

Didier Lombard, 68, has been Chairman of the <strong>France</strong> <strong>Tele<strong>com</strong></strong><br />

Board of Directors since February 27, 2005. He was also the<br />

Company’s Chief Executive Offi cer until March 1, 2010. He<br />

joined <strong>France</strong> <strong>Tele<strong>com</strong></strong> in 2003 as Executive Director in charge of<br />

Technologies, Strategic Partnerships and New Usage Patterns.<br />

Didier Lombard began his career in research and development<br />

at <strong>France</strong> <strong>Tele<strong>com</strong></strong> in 1967, where he participated in the<br />

development of numerous new products for <strong>France</strong> <strong>Tele<strong>com</strong></strong><br />

covering satellites, electronic <strong>com</strong>ponents and mobile systems.<br />

From 1988 to 1990, he was the Scientifi c and Technical Director<br />

at the French Ministry of Research and Technology and then<br />

served as Managing Director of Industrial Strategy at the French<br />

Ministry of the Economy, Finance and Industry from 1991 to<br />

1998. Prior to his appointment at <strong>France</strong> <strong>Tele<strong>com</strong></strong>, Mr. Lombard<br />

also served as Ambassador for international investments for<br />

several years and was founding Chairman of the French agency<br />

for international investment. He is also a member of Thomson’s<br />

and Thales’ board, and a member of the Supervisory Boards<br />

of STMicroelectronics and Radiall. Mr. Lombard is a graduate<br />

of the Ecole Polytechnique and the Ecole Nationale Supérieure<br />

des <strong>Tele<strong>com</strong></strong>munications. He is also a Knight of the French<br />

Legion of Honor and an Offi cer of the French Ordre National du<br />

Mérite (national merit order).<br />

Caroline Angeli, 52, is head of corporate networks in a customer service center at Paris Bercy, after working as central labour<br />

delegate for the SUD Federation. She joined <strong>France</strong> <strong>Tele<strong>com</strong></strong> in 1988 as a line works manager.<br />

Bruno Bézard, 46, has served since February 2007 as<br />

Managing Director of the French Government Shareholding<br />

Agency for State Equity Investments (APE) within the French<br />

Ministry of the Economy, Industry and Employment. He is<br />

also a director of Areva, Air <strong>France</strong>-KLM, EDF, Thales, La<br />

Poste, SNCF, Dexia and Strategic Investment Fund (FSI).<br />

From September 1994 to May 1998, Bruno Bézard served as<br />

Bureau Chief with the Department of the Treasury, responsible<br />

for fi nancing housing, savings collection circuits and La Poste .<br />

From May 1998 to January 2000, he served as the sub-Director<br />

for the Department of Treasury, responsible for insurance. From<br />

January to March 2000, he was Deputy Chief of Staff for the<br />

Minister of the Economy, Finance and Industry. In May 2000,<br />

Bruno Bézard was appointed sub-Director in the Department<br />

of the Treasury for development assistance, multilateral banks<br />

and emerging countries. At the same time, he became Vice-<br />

Chairman of the Club de Paris. From June 2001 to April 2002,<br />

he served as Economic and Financial Advisor to the Prime<br />

Minister. As Head of the Equity Investments Department until<br />

September 2004, he was then appointed Deputy CEO of the<br />

APE and was named Managing Director on February 26, 2007.<br />
