APPENDIX A: SAMPLE CONTRACT<br />

compensation, benefits, or taxes for any personnel provided<br />

by or on behalf of the Contractor.<br />

8.34.3 The Contractor underst<strong>and</strong>s <strong>and</strong> agrees that all persons<br />

performing work pursuant to this Contract are, for purposes<br />

of Workers' Compensation liability, solely employees of the<br />

Contractor <strong>and</strong> not employees of the County. The<br />

Contractor shall be solely liable <strong>and</strong> responsible for<br />

furnishing any <strong>and</strong> all Workers' Compensation benefits to<br />

any person as a result of any injuries arising from or<br />

connected with any work performed by or on behalf of the<br />

Contractor pursuant to this Contract.<br />

8.34.4 The Contractor shall adhere to the provisions stated in subparagraph<br />

7.6 - Confidentiality.<br />

8.35 Indemnification<br />

The Contractor shall indemnify, defend <strong>and</strong> hold harmless the<br />

County, its Special Districts (“County Indemnities”), elected <strong>and</strong><br />

appointed officers, employees, <strong>and</strong> agents from <strong>and</strong> against any<br />

<strong>and</strong> all liability, including but not limited to dem<strong>and</strong>s, claims,<br />

actions, fees, costs, <strong>and</strong> expenses (including attorney <strong>and</strong> expert<br />

witness fees), arising from or connected with the Contractor’s acts<br />

<strong>and</strong>/or omissions arising from <strong>and</strong>/or relating to this Contract,<br />

except for loss or damage arising from the sole negligence or willful<br />

misconduct of the County Indemnities..<br />

8.36 General Provisions for All Insurance Coverage<br />

Without limiting Contractor's indemnification of County, <strong>and</strong> in the<br />

performance of this Contract <strong>and</strong> until all of its obligations pursuant<br />

to this Contract have been met, Contractor shall provide <strong>and</strong><br />

maintain at its own expense insurance coverage satisfying the<br />

requirements specified in Sections 8.36 <strong>and</strong> 8.37 of this Contract.<br />

These minimum insurance coverage terms, types <strong>and</strong> limits (the<br />

“Required Insurance”) also are in addition to <strong>and</strong> separate from any<br />

other contractual obligation imposed upon Contractor pursuant to<br />

this Contract. The County in no way warrants that the Required<br />

Insurance is sufficient to protect the Contractor for liabilities which<br />

may arise from or relate to this Contract.<br />

8.36.1 Evidence of Coverage <strong>and</strong> Notice to County<br />

• Certificate(s) of insurance coverage (Certificate)<br />

satisfactory to County, <strong>and</strong> a copy of an Additional<br />

Insured endorsement confirming County <strong>and</strong> its Agents<br />

(defined below) has been given Insured status under<br />
