APPENDIX A: SAMPLE CONTRACT Sample Contract CONTRACT BETWEEN COUNTY OF LOS ANGELES AND CONTRACTOR FOR CASE RECORD STORAGE AND RETRIEVAL SERVICES This Contract and Attachments are made and entered into this ___ day of ____________, 2013 by and between the County of Los Angeles, hereinafter referred to as County and ________________, hereinafter referred to as Contractor. ________________ is located at ____________________. RECITALS WHEREAS, the County may contract with private businesses for Case Record Storage and Retrieval Services when certain requirements are met; and WHEREAS, CONTRACTOR is qualified by reason of experience, preparation, equipment, organization, staffing, and facilities to provide the services contemplated by this Contract on behalf of COUNTY; and WHEREAS, COUNTY lacks the experience and resources necessary to provide case record storage and retrieval services; and WHEREAS, COUNTY is authorized by Government Code Section 26227 and 31000 to contract for such services, including those contemplated herein; and WHEREAS, CONTRACTOR has submitted a proposal to COUNTY for provision of Case Record Storage and Retrieval Services and CONTRACTOR has been selected for recommendation for award of this Contract. NOW THEREFORE, in consideration of the mutual covenants contained herein, and for good and valuable consideration, the parties agree to the following: CASE RECORD STORAGE AND RETRIEVAL SERVICES (RFP) 2012 Page 58
APPENDIX A: SAMPLE CONTRACT 1.0 APPLICABLE DOCUMENTS Attachments A, B, C, D, E, F, G, H, I, J, K, L, M, N, O, P, Q, R, S, T, U, V, W, and X are attached to and form a part of this Contract. In the event of any conflict or inconsistency in the definition or interpretation of any word, responsibility, schedule, or the contents or description of any task, deliverable, goods, service, or other work, or otherwise between the base Contract and the Attachments, or between Attachments, such conflict or inconsistency shall be resolved by giving precedence first to the Contract and then to the Attachments according to the following priority. NOTE: Attachments are not attached to sample contract since they are elsewhere in the RFP as indicated in the table of contents.
