PROPOSAL SUBMISSION REQUIREMENTS 3.12.11 Acceptance of / or Exceptions to Terms and Conditions in Sample Contract, and Requirements of the Statement of Work (SOW) (Section G) A. It is the duty of every Proposer to thoroughly review the Appendix A, Sample Contract and Appendix B, Statement of Work and Appendix C, SOW Technical Exhibits to ensure compliance with all terms, conditions and requirements. It is the County’s expectation that in submitting a proposal the Proposers will accept, as stated, the County’s terms and conditions in the Sample Contract and the County’s requirements in the Statement of Work. However, the Proposers are provided the opportunity to take exceptions to the County’s terms, conditions, and requirements. B. Section G of Proposer’s response must include: 1. A statement offering the Proposer’s acceptance of or exceptions to all terms and conditions listed in Appendix A, Sample Contract. 2. A statement offering the Proposer’s acceptance of or exceptions to all requirements listed in Appendix B, Statement of Work; and Appendix C, SOW Technical Exhibits. 3. For each exception, the Proposer shall provide: • An explanation of the reason(s) for the exception; • The proposed alternative language; and • A description of the impact, if any, to the Proposer’s price. C. Indicate all exceptions to the Appendix A, Sample Contract, Appendix B, Statement of Work and/or the Appendix C, SOW Technical Exhibits by providing a ‘red-lined’ version of the language in question. The County relies on this procedure and any Proposer who fails to make timely exceptions as required herein, may be barred, at the County’s sole discretion, from later making such exceptions. The County reserves the right to determine if Proposers’ exceptions are material enough to deem the proposal non-responsive and not subject to further evaluation. The County reserves the right to make changes to the Sample Contract and its attachments and technical exhibits at its sole discretion. CASE RECORD STORAGE AND RETRIEVAL SERVICES (RFP) 2012 38
PROPOSAL SUBMISSION REQUIREMENTS 3.12.12 Subcontractor or Partners (Business Proposal, Section H) Limit to Five (5) Pages If this is not a single Proposer proposal, the transmittal letter shall clearly indicate the other company(ies)/agency(ies) involved and the nature of its role. All applicable information for each Proposed Subcontractor or partner, as outlined in RFP Subsection 3.12.6.1, (Proposer’s Background and Experience) and 3.12.6.3 (Proposer’s Performance History), herein, must be submitted in Business Proposal, Section H. The Subcontractor’s or partner’s ratings in this area may affect the primary Proposer’s score in Proposer Qualifications. A statement from all Subcontractors or Partners indicating their willingness to work with the Proposer and the intent to sign a formal agreement between/among themselves must be submitted over the signature of the person authorized to bind the Subcontractor or Partner. All Subcontracting and Partnering Agreements must be submitted for County review and the official record after award of the Contract, if any.
