Within the meaning of Art. 123-bis par. 3 of Legislative Decree 58 dated February 24, 1998, the “Report<br />

on Corporate Governance and Proprietary Structures” is available in the "Governance" section of the<br />

UniCredit website (http://www.unicreditgroup.eu/it/Governance/corporate_governance_report.htm).<br />

An ex<strong>pl</strong>anatory chapter on the Corporate Governance structure is likewise included below in this<br />

document.<br />

During 2009, the Group's operations were characterized primarily by the im<strong>pl</strong>ementation of initiatives for<br />

the creation of the Group’s Global Factory for shared services and products, as well as the reorganization<br />

of the Group through rationalization of operations of subsidiary companies to eliminate overlapping<br />

businesses and pursue greater synergies and cost reductions.<br />

The Group also undertook some new growth initiatives through external lines to consolidate and<br />

strengthen its leadership position in certain business sectors.<br />

During the year, the Group also established certain asset-strengthening measures, and the end of 2009<br />

saw the launch of the "ONE4C" project for the reorganization of the Group in order to increase customer<br />

satisfaction and proximity to the territory, which will be addressed again in the corresponding chapters.<br />

During the report year, two separate projects were com<strong>pl</strong>eted to reorganize the Group’s Italian and<br />

foreign back office and ICT operations in order to improve the coordination and efficiency of these<br />

business support areas and to achieve further economies of scale and scope.<br />

Specifically, the goal of the projects was to im<strong>pl</strong>ement two Global Factories for shared services:<br />

� a Global Back Office Company that provides back office services at the Group level,<br />

known as UniCredit Processes & Administration S.p.A. (which changed its name and<br />

company form in the report year to “UniCredit Business Partner joint venture corporation”,<br />

hereinafter “UCBP”);<br />

� a Global ICT Company that serves as the sole center for ICT services for the entire Group,<br />

known as UniCredit Global Information Services S.p.A. (which changed its company form<br />

in the report year to that of a joint venture corporation, hereinafter “UGIS”).<br />

Both companies will reinforce the “customer-centric” approach that will be based on regular customer<br />

satisfaction surveys.<br />
