Public-private partnership projects create value for<br />

<strong>Skanska</strong> by generating large construction assignments,<br />

as well as potential capital gains from divestment <strong>of</strong><br />

completed projects and cash flows during the long-term<br />

operation phase (“steady state”). In addition to construction<br />

assignments, in many cases <strong>Skanska</strong> is also responsible<br />

for long-term service and maintenance contracts. <strong>Skanska</strong><br />

Infrastructure Development (<strong>Skanska</strong> ID) thus creates<br />

assets characterized by reliable cash flows lasting many<br />

years, once steady state begins.<br />

The development process<br />

In public-private partnership projects, <strong>Skanska</strong> is<br />

involved in the entire development chain from design<br />

and financing to construction, operation and maintenance.<br />

By assuming an overall responsibility, <strong>Skanska</strong><br />

optimizes both construction and operating costs.<br />

<strong>Skanska</strong>-led consortia are awarded these projects not<br />

only because <strong>of</strong> price but also on the basis <strong>of</strong> how well the<br />

product they <strong>of</strong>fer meets the needs <strong>of</strong> the customer today<br />

and in the future.<br />

During the entire development process, which is<br />

led by <strong>Skanska</strong>, the customer, owners and construction<br />

companies (<strong>Skanska</strong> and its partners) and suppliers <strong>of</strong><br />

operating and maintenance services are integrated into the<br />

task from the start, which reduces the overall project risks.<br />

Risk management – generating value-added<br />

The investment, which is <strong>Skanska</strong> Infrastructure Development’s<br />

part <strong>of</strong> the value chain, must meet commercial<br />

financial return targets. To create commercially attractive<br />

long-term assets, <strong>Skanska</strong> must efficiently manage risks<br />

and opportunities during the development process, that<br />

is, before and after financial close. Substantial valueadded<br />

is generated during this process.<br />

Thorough selection process<br />

The selection process is crucial to <strong>Skanska</strong>. First and<br />

foremost, projects must be in product segments and<br />

markets where <strong>Skanska</strong> has pr<strong>of</strong>iciency and experience.<br />

The investment must also meet the yield requirements<br />

(or return targets) that <strong>Skanska</strong> has established. <strong>Skanska</strong><br />

performs a thorough examination <strong>of</strong> risks and opportunities,<br />

in close collaboration with the Group’s construction<br />

units. Since public-private partnership projects largely<br />

undergo final planning during the bidding phase,<br />

tender-related costs are substantially higher than for<br />

traditionally procured construction contracts. The<br />

bidding period is usually also longer. By means <strong>of</strong> a very<br />

thorough internal selection process, <strong>Skanska</strong> focuses<br />

on a limited number <strong>of</strong> projects, thereby holding down<br />

the costs.<br />

Together with one or more suitable partners,<br />

<strong>Skanska</strong> usually forms a bidding consortium. In collaboration<br />

with the bidding consortium, <strong>Skanska</strong>’s local<br />

construction units and any other partners, <strong>Skanska</strong><br />

develops a bid. After the consortium has been selected<br />

as the preferred bidder, final negotiations with the<br />

customer and potential financiers begin. Only when<br />

financial close has been achieved are assignments included<br />

in the order bookings <strong>of</strong> the construction unit and in<br />

<strong>Skanska</strong>’s portfolio <strong>of</strong> infrastructure development assets.<br />

level. It is not only <strong>Skanska</strong>’s<br />

largest-ever project, but also<br />

the world’s largest publicprivate<br />

partnership hospital.<br />

are properly managed, there is potential for higher margins<br />

in these contracts than is the case in traditionally<br />

procured projects. This is primarily because <strong>Skanska</strong><br />

is involved in the entire process and can thus influence<br />

planning and design from the very beginning. The local<br />

construction company is <strong>of</strong>ten also contracted to operate<br />

and maintain the completed facility.<br />

The greatest risk from an investor perspective is that<br />

the asset cannot go into service on schedule and that<br />

quality standards are not met, but this risk is regarded as<br />

lower when <strong>Skanska</strong> is responsible for the construction<br />

assignment than when an external contractor is responsible<br />

for it.<br />

Once the construction phase ends, the ramp-up<br />

phase begins, that is, the time it takes for the project to<br />

achieve the expected utilization levels and degrees <strong>of</strong><br />

functionality. Its length varies depending on the type <strong>of</strong><br />

project and its size. In addition, <strong>Skanska</strong> has operating<br />

and maintenance obligations.<br />

Two different compensation models<br />

The project company, in which <strong>Skanska</strong> is a part owner,<br />

receives compensation mainly according to one <strong>of</strong> two<br />

different models.<br />

The availability model<br />

In the availability model, compensation is based on<br />

providing a given amenity and agreed services at a predetermined<br />

price. Compensation, which is adjusted for<br />

inflation, is payable regardless <strong>of</strong> the extent to which<br />

the facility is utilized. The project company is exclusively<br />

responsible for keeping the services and facilities<br />

available, functioning smoothly and up to the agreed<br />

standard. Shortcomings may result in deductions from<br />

payments. Because the customer in availability project<br />

models is usually a national or local government, the<br />

project company’s credit and payment risk is low. In this<br />

model, an overwhelming proportion <strong>of</strong> <strong>Skanska</strong>’s investment<br />

consists <strong>of</strong> subordinated shareholder loans. The<br />

availability model is more common in <strong>Skanska</strong>’s project<br />

portfolio and is the most prevalent model in Europe.<br />

The market risk model<br />

In the market risk model, compensation is based entirely<br />

on the volume <strong>of</strong> utilization and the fees paid by endusers,<br />

for example tolls collected from motorists on a<br />

Integrated model<br />

As a rule, <strong>Skanska</strong>’s local construction company carries<br />

out most <strong>of</strong> the construction project as a design-build<br />

contract with a fixed price and completion date. If risks<br />
