7 CORPORATE GOVERNANCE REPORTMeetings of the board of supervisorsIn 2012, the board of supervisors convened seven meetings in total on 17 February, 9 March, 23 March, 27 April, 13 July, 22 August, 26 Octoberrespectively. Major resolutions approved by the board of supervisors meetings included report of the board of supervisors, supervisory workingplan, periodic financial reports of the Bank, profit distribution plan, etc. Relevant information was disclosed pursuant to the provisions in relevantlaws, regulations and listing rules of the listing venues. Mr. Zhang Furong serves as chairman of the performanceand due diligence supervision committee. Members include Ms. Liu Jin, Mr. Song Fengming, Mr. Jin Panshi, Mr. Li Weiping and Mr. Guo Feng.The primary responsibilities of the performance and due diligence supervision committee include:• formulating the rules, work plans and proposals and implementation plans for supervision and examination in connection with thesupervision of the performance and degree of diligence of the board of directors, senior management and their members; andimplementing and organising the implementation of such rules, plans and proposals after the board of supervisors’ approval;• giving evaluation report on the performance of duties by the board of directors and senior management as well as their members; and• formulating performance evaluation measures for the supervisors and organising the implementation of such measures.China Construction Bank Corporation annual report 201267

Mr. Dai Deming serves as chairman of the finance and internalcontrol supervision committee.
