20. In accordance with Article 29 of Regulation (EU)<br />

No 1095/2010, ESMA shall pr<strong>om</strong>ote an effective bilateral and<br />

multilateral exchange of information between the c<strong>om</strong>petent<br />

authorities of the Member State of reference of the non-EU<br />

AIFM and the c<strong>om</strong>petent authorities of the host Member<br />

States of the AIFM concerned, with full respect for the<br />

applicable confidentiality and data protection provisions<br />

provided for in the relevant Union legislation.<br />

21. In accordance with Article 31 of Regulation (EU)<br />

No 1095/2010, ESMA shall fulfil a general coordination role<br />

between the c<strong>om</strong>petent authority of the Member State of<br />

reference of the non-EU AIFM and the c<strong>om</strong>petent authorities<br />

of the host Member States of the AIFM concerned. In particular,<br />

ESMA may:<br />

(a) facilitate the exchange of information between the<br />

c<strong>om</strong>petent authorities concerned;<br />

(b) determine the scope of the information that the c<strong>om</strong>petent<br />

authority of the Member State of reference must provide to<br />

the c<strong>om</strong>petent authorities of the host Member States<br />

concerned;<br />

(c) take all appropriate measures in case of developments which<br />

may jeopardise the functioning of the financial markets with<br />

a view to facilitating the coordination of actions undertaken<br />

by the c<strong>om</strong>petent authority of the Member State of<br />

reference and the c<strong>om</strong>petent authorities of the host<br />

Member States in relation to non-EU AIFMs.<br />

22. In order to ensure uniform conditions of application of<br />

this Article, ESMA may develop draft implementing technical<br />

standards to determine the form and content of the request<br />

referred to in the second subparagraph of paragraph 12.<br />

Power is conferred on the C<strong>om</strong>mission to adopt the implementing<br />

technical standards referred to in the first subparagraph<br />

in accordance with Article 15 of Regulation (EU)<br />

No 1095/2010.<br />

23. In order to ensure the uniform application of this Article,<br />

ESMA shall develop draft regulatory technical standards on the<br />

following:<br />

(a) the manner in which an AIFM must c<strong>om</strong>ply with the<br />

requirements laid down in this Directive, taking into<br />

account that the AIFM is established in a third country<br />

and, in particular, the presentation of the information<br />

required in Articles 22 to 24;<br />

(b) the conditions under which the law to which a non-EU<br />

AIFM or a non-EU AIF is subject is considered to provide<br />

for an equivalent rule h<strong>av</strong>ing the same regulatory purpose<br />

and offering the same level of protection to the relevant<br />

investors.<br />

Power is delegated to the C<strong>om</strong>mission to adopt the regulatory<br />

technical standards referred to in the first subparagraph in<br />

accordance with Article 10 to 14 of Regulation (EU)<br />

No 1095/2010.<br />

Article 38<br />

Peer review of authorisation and supervision of non-EU<br />

AIFMs<br />

1. ESMA shall, on an annual basis, conduct a peer review<br />

analysis of the supervisory activities of the c<strong>om</strong>petent<br />

authorities in relation to the authorisation and the supervision<br />

of non-EU AIFMs under Articles 37, 39, 40 and 41, to further<br />

enhance consistency in supervisory outc<strong>om</strong>es, in accordance<br />

with Article 30 of Regulation (EU) No 1095/2010.<br />

2. By 22 July 2013, ESMA shall develop methods to allow<br />

for objective assessment and c<strong>om</strong>parison between the<br />

authorities reviewed.<br />

3. In particular, the peer review analysis shall include an<br />

assessment of:<br />

(a) the degree of convergence in supervisory practices achieved<br />

in the authorisation and supervision of non-EU AIFMs;<br />

(b) the extent to which the supervisory practice achieves the<br />

objectives set out in this Directive;<br />

(c) the effectiveness and the degree of convergence achieved<br />

with regard to the enforcement of this Directive and its<br />

implementing measures and the regulatory and implementing<br />

technical standards developed by ESMA pursuant<br />

to this Directive, including administrative measures and<br />

penalties imposed against non-EU AIFMs where this<br />

Directive has not been c<strong>om</strong>plied with.<br />

4. On the basis of the conclusions of the peer review, ESMA<br />

may issue guidelines and rec<strong>om</strong>mendations pursuant to<br />

Article 16 of Regulation (EU) No 1095/2010, with a view to<br />

establishing consistent, efficient and effective supervisory<br />

practices of non-EU AIFMs.<br />

5. The c<strong>om</strong>petent authorities shall make every effort to<br />

c<strong>om</strong>ply with those guidelines and rec<strong>om</strong>mendations.<br />

6. Within 2 months of the issuance of a guideline or rec<strong>om</strong>mendation,<br />

each c<strong>om</strong>petent authority shall confirm whether it<br />

c<strong>om</strong>plies or intends to c<strong>om</strong>ply with that guideline or rec<strong>om</strong>mendation.<br />

In the event that a c<strong>om</strong>petent authority does not<br />

c<strong>om</strong>ply or intend to c<strong>om</strong>ply, it shall inform ESMA, stating its<br />

reasons.<br />

7. ESMA shall publish the fact that a c<strong>om</strong>petent authority<br />

does not c<strong>om</strong>ply or intend to c<strong>om</strong>ply with that guideline or<br />

rec<strong>om</strong>mendation. ESMA may also decide, on a case-by-case<br />

basis, to publish the reasons provided by the c<strong>om</strong>petent<br />

authority for not c<strong>om</strong>plying with that guideline or rec<strong>om</strong>mendation.<br />

The c<strong>om</strong>petent authority shall receive advance notice of<br />

such a publication.
