ARTICLE 2<br />

General Provisions<br />

2.1 General Provisions governing the Contract, including insurance coverage the Consultant <strong>and</strong> its subconsultants<br />

are required to provide, are set <strong>for</strong>th in Appendix A. Appendix A is included as an Exhibit to the Contract.<br />

2.2 The City hereby retains the Consultant to per<strong>for</strong>m the <strong>services</strong> hereinafter described, on the terms <strong>and</strong><br />

conditions specified herein, <strong>and</strong> the Consultant agrees to so serve. The Consultant agrees to provide, to the satisfaction<br />

of the Commissioner, all <strong>engineering</strong> <strong>design</strong> <strong>and</strong> <strong>related</strong> <strong>services</strong> necessary <strong>and</strong> required, as specified in Task Orders<br />

issued hereunder. The <strong>services</strong> to be provided by the Consultant are set <strong>for</strong>th in Article 6. The Consultant hereby<br />

certifies that it has the necessary experience, expertise, staff <strong>and</strong> resources to fulfill its obligations under this Contract<br />

competently <strong>and</strong> efficiently.<br />

ARTICLE 3<br />

Time Provisions<br />

3.1 Term of Contract: The Contract shall commence on the date of registration by the Comptroller <strong>and</strong> shall<br />

remain in effect <strong>for</strong> the period set <strong>for</strong>th in Exhibit A. At the Commissioner’s sole option, the term of this contract may<br />

be renewed <strong>for</strong> the period <strong>and</strong> <strong>for</strong> the increased amount set <strong>for</strong>th in Exhibit A. In addition, the Commissioner may, <strong>for</strong><br />

good <strong>and</strong> sufficient cause, extend the term of this Contract <strong>for</strong> a cumulative period not to exceed one year from the date<br />

of expiration.<br />

3.2 Continuation of the Contract: In the event (1) <strong>services</strong> are required <strong>for</strong> a Project, (2) a Task Order <strong>for</strong> the<br />

Project is issued by the Commissioner during the term of the Contract, including the last day thereof, <strong>and</strong> (3) the time<br />

frame <strong>for</strong> completion of the Project extends beyond the term of the Contract, the Contract shall remain in effect <strong>for</strong><br />

purposes of such Task Order through the time frame <strong>for</strong> completion of the Project, as set <strong>for</strong>th in the Task Order or any<br />

Supplementary Task Order required to complete the Project. For the purpose of this provision, the term of the Contract<br />

shall mean whichever of the following is the latest <strong>and</strong> actual final period of the Contract: (1) the term of the Contract,<br />

(2) the renewal term of the Contract, or (3) the extended term of the Contract.<br />

ARTICLE 4<br />

Task Order Process<br />

4.1 General: The Consultant shall provide, to the satisfaction of the Commissioner, <strong>engineering</strong> <strong>design</strong> <strong>and</strong> <strong>related</strong><br />

<strong>services</strong> in accordance with Task Orders issued hereunder. The Consultant’s <strong>services</strong> shall be provided with respect to<br />

the Project specified in the Task Order. The <strong>services</strong> the Consultant may be required to provide are set <strong>for</strong>th in Article<br />

6, or as otherwise specified in the Task Order. The Consultant shall not per<strong>for</strong>m <strong>services</strong> hereunder until the<br />

Commissioner has issued a written Task Order.<br />

4.2 Method of Payment: The method of payment <strong>for</strong> the per<strong>for</strong>mance of <strong>engineering</strong> <strong>design</strong> <strong>and</strong> <strong>related</strong> <strong>services</strong><br />

by the Consultant shall be specified in the Task Order. The methods of payment <strong>for</strong> the per<strong>for</strong>mance of required<br />

<strong>services</strong> are set <strong>for</strong>th in Article 7. For most Projects, the specified method of payment shall be through Fee(s).<br />

4.3 Process <strong>for</strong> Finalizing Task Order: The process <strong>for</strong> finalizing a Task Order is described below.<br />

4.3.1 RFP <strong>for</strong> the Project: As the need <strong>for</strong> <strong>services</strong> arises, the Commissioner shall issue a Request <strong>for</strong> a<br />

Proposal (―RFP‖) to the Consultant. The RFP <strong>for</strong> the Project shall include the following: (1) in<strong>for</strong>mation concerning<br />

the Project, (2) areas of <strong>design</strong> <strong>services</strong> <strong>for</strong> which subconsultants (or in-house expertise) will be required, <strong>and</strong> (3)<br />

in<strong>for</strong>mation that must be included in the Proposal to be submitted by the Consultant. The Consultant shall not be<br />

entitled to compensation <strong>for</strong> costs incurred in connection with the preparation of Proposals <strong>for</strong> specific Projects.<br />

4.3.2 Proposal: Within the time frame specified by DDC, the Consultant shall submit a Proposal <strong>for</strong> the<br />

Project in accordance with the <strong>requirements</strong> set <strong>for</strong>th in the RFP. The Commissioner shall review the Consultant’s<br />

proposal <strong>and</strong> shall direct revisions to the same if necessary prior to issuing the final Task Order.<br />

4.3.3 Fees: In the event the method of payment is through Fee(s), the Commissioner shall negotiate fair <strong>and</strong><br />

reasonable Fees <strong>for</strong> the required <strong>services</strong> with the Consultant. Such negotiation shall be based on the All Inclusive<br />

Hourly Rates set <strong>for</strong>th in Exhibit C.<br />
