Business Structure<br />

Molson Coors Brewing Company is the principal holding company, and its operating<br />

subsidiaries include Molson Canada, Coors Brewing Company, and Coors Brewers Limited.<br />

Molson Canada brews and is responsible for all the “Canadian” brands previously<br />

and once again held entirely by Molson. Coors Brewing Company operated in the United<br />

States prior to the formation of MillerCoors LLC. Coors Brewing Company also has the<br />

distribution and bottling facilities in parts of the United States. Coors Brewers Limited<br />

is responsible for operations in the United Kingdom and Ireland, where it has a highly<br />

successful beer, Carling, number one among its segment in the United Kingdom.<br />

Nine of the members of the Molson Coors Board are independent of <strong>management</strong><br />

and the controlling shareholders—that is, they are not a part of either family. Exhibit 1<br />

shows the organizational chart of Molson Coors.<br />

U.S. and International Operations<br />

Molson Coors Brewing Company is the fifth-largest brewer in the world and sells its<br />

products in more than 30 markets internationally, including North America, Europe, Latin<br />

America, and Asia. Molson Coors is the third-largest brewer in the United States, the<br />

second largest in the United Kingdom, and the leading brewer in Canada by sales volume.<br />

The Molson Coors corporate headquarters and primary brewery is in Golden, Colorado,<br />

previously headquarters of Adolph Coors, as well as CBL brewing, packaging, and<br />

malting facilities in the United Kingdom. In addition, Coors owns major facilities in<br />

Colorado to manufacture aluminum cans and ends, as well as bottles, and is a partner in<br />

ventures that operate these plants (www.coors.com 2009).<br />
