Limited(「 目 標 公 司 」) 之 全 部 已 發 行 股 本 及 目 標 公 司 應
付 陳 女 士 之 尚 未 償 還 貸 款 總 額 750,810,007 港 元 , 總 代 價
為 900,000,000 港 元 ( 可 予 調 整 )。 目 標 公 司 之 主 要 資 產
為 彼 等 於 Over Profit International Limited 之 合 共 75% 股
權 權 益 。Over Profit International Limited 透 過 一 間 澳 門
公 司 Legstrong Construction and Investment Company
Limited(「 澳 門 公 司 」) 間 接 全 資 實 益 擁 有 一 幅 位 於 澳 門
何 鴻 燊 博 士 大 馬 路 南 灣 湖 畔 地 區 , 面 積 4,669 平 方 米 ,
名 為 「 南 灣 湖 計 劃 C 區 7 地 段 」, 於 Macau Land and Real
Estate Registry( 澳 門 物 業 登 記 局 ) 之 登 記 編 號 為 第 23070
號 之 土 地 (「 澳 門 土 地 」) 之 權 益 。 有 關 該 交 易 之 詳 情 載 於
本 公 司 於 二 零 零 九 年 八 月 十 七 日 刊 發 之 通 函 (「 該 通 函 」)
內 。 該 交 易 已 於 二 零 零 九 年 九 月 三 日 舉 行 之 本 公 司 股 東
特 別 大 會 上 獲 得 批 准 。 協 議 之 截 止 日 期 已 延 至 二 零 一 零
年 十 二 月 三 十 一 日 , 並 進 一 步 延 至 二 零 一 一 年 十 二 月
三 十 一 日 。 誠 如 該 通 函 內 所 載 , 完 成 條 件 之 一 為 澳 門 政
府 刊 登 南 灣 湖 計 劃 「C」 區 之 總 分 區 指 引 , 而 澳 門 公 司 因
應 總 分 區 指 引 而 遞 交 之 批 地 ( 據 此 , 澳 門 公 司 持 有 澳 門 政
府 於 二 零 零 一 年 八 月 十 四 日 簽 批 之 澳 門 土 地 ) 新 修 訂 之
結 果 已 由 澳 門 政 府 於 《 公 報 》 刊 登 。 於 二 零 一 零 年 第 三 季 ,
作 為 此 過 程 之 一 部 份 , 澳 門 政 府 邀 請 澳 門 居 民 呈 交 其 對
南 灣 湖 區 之 規 劃 概 念 建 議 書 , 以 優 化 對 該 城 市 基 建 之 整
體 利 益 。 預 期 澳 門 政 府 將 需 要 額 外 時 間 以 考 慮 及 仔 細 商
議 規 劃 概 念 建 議 書 才 能 落 實 規 劃 。 由 於 Bestjump 仍 未 達
成 或 獲 豁 免 該 等 條 件 , 故 該 交 易 截 至 報 告 日 期 止 尚 未 完 成 。
Material Acquisitions
On 29th April 2009, Bestjump Holdings Limited (“Bestjump”),
a wholly owned subsidiary of the Company and Ms. Chen
Ming Yin, Tiffany (“Ms. Chen”), an executive director and
a substantial shareholder of the Company entered into a
sale and purchase agreement pursuant to which Bestjump
has agreed to purchase and Ms. Chen has agreed to sell
the entire issued share capital of Modern Vision (Asia)
Limited and Reform Base Holdings Limited (the “Targeted
Companies”) and outstanding loans in an aggregate amount of
HK$750,810,007 due by the Targeted Companies to Ms. Chen
at an aggregate consideration HK$900,000,000 (subject to
adjustment). The major assets of the Targeted Companies are
their aggregate 75% equity interests in Over Profit International
Limited. Over Profit International Limited, through a Macau
company, Legstrong Construction and Investment Company
Limited (the “Macau Co”), indirectly owned 100% beneficial
interest in a lot of land with the area of 4,669 square meters,
named “Lote C7 do Plano de Urbanização da Baía da Praia
Grande”, located in the Nam Van Lakes Zone, at Avenida
Doutor Stanley Ho, registered with the Macau Land and Real
Estate Registry under no. 23070 (the “Macau Land”). Details
of the transaction were set out in the Company’s circular dated
17th August 2009 (“the Circular”). The transaction has been
approved in a special general meeting of the Company held
on 3rd September 2009. The longstop date of the agreement
had extended to 31st December 2010 and further extended
to 31st December 2011. As set out in the Circular, one of
the conditions to completion is the publication by the Macau
Government of a master zoning guideline for the “C” area of
Nam Van Lakes Zone and the results of a new amendment to
the land grant under which the Macau Co holds the Macau
Land from the Macau Government executed on 14th August
2001 to be submitted by Macau Co having been, in light of the
master zoning guideline, gazetted by the Macau Government.
In the third quarter of 2010, the Macau Government invited
Macau citizens as part of this process to submit their
conceptual planning proposals for the Nam Van area with
a view to optimising the benefits to the city’s infrastructures
as a whole. It is anticipated that the Macau Government will
need further time for its consideration and deliberations of
the conceptual planning proposals to finalise the plan. As the
conditions have not been satisfied or waived by Bestjump, the
transaction has not yet completed up to the reporting date.
