於 二 零 一 零 年 十 二 月 八 日 , 本 公 司 全 資 附 屬 公 司 China<br />
Star Entertainment (BVI) Limited(「CSBVI」)、 嘉 滙 投 資<br />
及 China Star Film Group Limited(「 合 營 公 司 」) 訂 立 合 營<br />
協 議 (「 合 營 協 議 」), 內 容 有 關 成 立 主 要 從 事 製 作 及 發 行<br />
電 影 之 合 營 公 司 。 根 據 合 營 協 議 , 合 營 公 司 同 意 按 每 股<br />
1,000,000 港 元 之 價 格 分 別 發 行 及 配 發 30 股 及 29 股 合 營 公<br />
司 股 份 予 CSBVI 及 嘉 滙 投 資 , 於 完 成 合 營 協 議 後 ,CSBVI<br />
及 嘉 滙 投 資 將 各 自 實 益 擁 有 合 營 公 司 50% 權 益 。59 股 合<br />
營 公 司 股 份 已 於 二 零 一 一 年 一 月 七 日 獲 發 行 及 配 發 。<br />
On 8th December 2010, China Star Entertainment (BVI)<br />
Limited (“CSBVI”), a wholly owned subsidiary of the Company,<br />
KH Investment and China Star Film Group Limited (the “JV<br />
Company”) entered into a joint venture agreement (the JV<br />
Agreement”) relating to the formation of the JV Company,<br />
which is principally engaged in production and distribution<br />
of films. Pursuant to the JV Agreement, the JV Company<br />
agreed to issue and allot 30 shares and 29 shares of the JV<br />
Company at a price of HK1,000,000 per share to CSBVI and<br />
KH Investment respectively. CSBVI and KH Investment will<br />
benefially interested in 50% each of the JV Company after<br />
the completion of the JV Agreement. The 59 shares of the JV<br />
Company were issued and alloted on 7th January 2011.<br />

Triumph Top Limited(「 買 方 」)、 本 公 司 、Sociedade de<br />
Turismo e Diversões de Macau, S.A.(「 賣 方 」) 及 本 公 司<br />
董 事 向 華 強 先 生 訂 立 有 條 件 協 議 , 據 此 , 賣 方 有 條 件 同<br />
意 出 售 而 買 方 有 條 件 同 意 按 代 價 550,000,000 港 元 收 購<br />
賣 方 根 據 澳 門 政 府 就 位 於 澳 門 Zona de Aterros do Porto<br />
Exterior (ZAPE) 之 第 6B 地 段 、 第 6C 地 段 、 第 6D 地 段 及 第<br />
6E 地 段 (「 該 等 地 盤 」) 授 出 之 租 賃 而 持 有 之 物 業 租 賃 權 ( 連<br />
同 該 等 地 盤 之 固 有 法 定 業 權 轉 讓 予 買 方 )(「 收 購 事 項 」)。<br />
根 據 香 港 聯 合 交 易 所 有 限 公 司 證 券 上 市 規 則 (「 上 市 規<br />
則 」), 收 購 事 項 構 成 本 公 司 一 項 非 常 重 大 收 購 事 項 及 關<br />
連 交 易 , 因 此 須 待 本 公 司 獨 立 股 東 於 本 公 司 舉 行 之 股 東<br />
特 別 大 會 上 批 准 後 , 方 可 作 實 。<br />
On 23rd December 2010, Triumph Top Limited, a wholly<br />
owned subsidiary of the Company (the “Purchaser”), the<br />
Company, Sociedade de Turismo e Diversões de Macau,<br />
S.A. (the “Vender”) and Mr. Heung Wah Keung, a director of<br />
the Company entered into a conditional agreement pursuant<br />
to which the Vender has conditionally agreed to sell and the<br />
Purchaser has conditionally agreed to purchase the property<br />
leasehold right held by the Vender under the leasehold<br />
granted by the Macau Government over Lot 6B, Lot 6C, Lot<br />
6D and Lot 6E, located in Macau at Zona de Aterros do Porto<br />
Exterior (ZAPE) (the “Sites”) (and the inherent transfer to the<br />
Purchaser of the legal title to the Sites) at a consideration<br />
of HK$550,000,000 (the “Acquisition”). The Acquisition<br />
constitutes a very substantial acquisition and a connected<br />
transaction of the Company under the Rules Governing the<br />
Listing of Securities on The Stock Exchange of Hong Kong<br />
Limited (the “Listing Rules”) and thus is subject to the approval<br />
of the independent shareholders of the Company in a special<br />
general meeting to be convened by the Company.<br />

零 一 零 年 :526 名 員 工 )。 董 事 相 信 , 其 優 秀 員 工 乃 本 集<br />
團 維 持 聲 譽 及 改 善 盈 利 能 力 之 單 一 最 重 要 因 素 。 員 工 之<br />
酬 金 乃 根 據 彼 等 之 工 作 表 現 、 專 業 經 驗 及 當 時 之 行 業 慣<br />
例 而 釐 定 。 除 基 本 薪 金 外 、 公 積 金 、 醫 療 計 劃 、 住 房 補<br />
貼 及 酌 情 花 紅 外 , 若 干 員 工 更 可 按 個 別 表 現 評 估 獲 授 購<br />
股 權 。<br />
Employees<br />
As at 31st December 2010, the Group employed 556 staffs<br />
(2010: 526 staffs). The directors believe that the quality of its<br />
employees is the single most important factor in sustaining the<br />
Group’s reputation and improving its profitability. The staffs are<br />
remunerated based on their work performance, professional<br />
experience and prevailing industry practices. Apart from basic<br />
salaries, pension fund, medical schemes, housing allowance<br />
and discretionary bonuses, options are awarded to certain<br />
staffs according to the assessment of individual performance.<br />
