(c) 於 二 零 零 九 年 三 月 十 一 日 , 本 集 團 於 永 恒
策 略 訂 立 貸 款 協 議 , 據 此 , 本 集 團 獲 授 最
多 200,000,000 港 元 之 貸 款 。 本 集 團 隨 後
提 取 貸 款 200,000,000 港 元 (「 該 貸 款 」)。
於 二 零 零 九 年 七 月 二 十 三 日 , 本 公 司 與 永
恒 策 略 訂 立 一 份 認 購 協 議 , 據 此 , 本 公 司
已 同 意 發 行 及 永 恒 策 略 已 同 意 或 促 使 按 認
購 價 認 購 本 金 額 為 200,000,000 港 元 之 為
期 三 年 可 換 股 票 據 , 該 可 換 股 票 據 之 金 額
透 過 抵 銷 該 貸 款 後 償 還 。 中 國 星 投 資 可 換
股 票 據 已 於 二 零 零 九 年 九 月 二 十 一 日 獲 認
購 , 並 於 二 零 零 九 年 十 月 及 十 二 月 悉 數 兌
換 為 1,000,000,000 股 本 公 司 股 份 。 於 二
零 零 九 年 三 月 十 一 日 及 二 零 零 九 年 七 月
二 十 三 日 , 向 華 強 先 生 及 陳 明 英 女 士 為 本
公 司 及 永 恒 策 略 之 共 同 董 事 , 並 辭 任 永 恒
策 略 董 事 , 自 二 零 一 零 年 二 月 一 日 起 生 效 。

On 11th March 2009, the Group entered into a
loan facility agreement with Eternity pursuant to
which the Group was granted loan facility of up
to HK$200,000,000. The Group subsequently
has drawn the loan of HK$200,000,000 (“Loan
Advance”). On 23rd July 2009, the Company and
Eternity entered into a subscription agreement
pursuant to which the Company has agreed to
issue and Eternity has agreed to subscribe or
procure subscription for a 3-year convertible
note in the principal amount of HK$200,000,000,
the subscription price of which shall be satisfied
by setting off against the Loan Advance. The
China Star Investment Convertible Notes was
subscribed on 21st September 2009 and fully
converted into 1,000,000,000 shares of the
Company on October and December 2009. Mr.
Heung Wah Keung and Ms. Chen Ming Yin,
Tiffany were common directors of the Company
and Eternity as at 11th March 2009 and 23rd
July 2009, and resigned as directors of Eternity
with effect from 1st February 2010.

度 , 本 集 團 已 支 付 有 關 該 貸 款 之 利 息 支
出 及 錄 得 有 關 中 國 星 投 資 可 換 股 票 據 之
推 算 利 息 支 出 分 別 約 3,973,000 港 元 及
1,934,000 港 元 。
During the year ended 31st December 2009, the
Group had paid interest expenses and recorded
imputed interest expenses amounted to
approximately HK$3,973,000 and HK$1,934,000
in respect of the Loan Advance and the China
Star Investment Convertible Notes respectively.
