合 約 安 排 之 性 質 以 及 金 融 負 債 及
權 益 工 具 之 定 義 , 分 別 列 入 金 融
負 債 及 權 益 。 將 以 固 定 金 額 現 金
或 另 一 項 金 融 資 產 交 換 本 公 司 固
定 數 目 之 權 益 工 具 之 方 式 結 清 之
換 股 期 權 , 列 為 權 益 工 具 。

Convertible notes
Convertible notes issued by the Company
are classified separately as financial
liabilities and equity in accordance
with the substance of the contractual
arrangements and the definitions of a
financial liability and an equity instrument.
Conversion option that will be settled by
the exchange of a fixed amount of cash or
another financial asset for a fixed number
of the Company’s own equity instruments
is an equity instrument.
於 發 行 日 期 , 負 債 部 份 之 公 平 價
值 按 同 類 不 可 換 股 工 具 之 當 時 市
場 利 率 評 估 。 該 金 額 按 攤 銷 成 本
基 準 以 實 際 利 率 法 記 入 負 債 , 直
至 於 轉 換 當 日 或 該 工 具 到 期 日 註
銷 為 止 。
At the date of issue, the fair value of the
liability component is estimated using
the prevailing market interest rate for
similar non-convertible instruments. This
amount is recorded as a liability on an
amortised cost basis using the effective
interest method until extinguished upon
conversion or at the instrument’s maturity
date.
列 入 權 益 之 換 股 期 權 乃 透 過 從 整
體 複 合 工 具 之 公 平 價 值 中 扣 減 負
債 部 份 金 額 而 釐 定 。 其 將 於 扣 除
所 得 稅 影 響 後 在 權 益 中 確 認 及 記
賬 , 且 隨 後 不 可 重 新 計 量 。 此 外 ,
列 入 權 益 之 換 股 期 權 將 一 直 保 留
於 權 益 內 , 直 至 該 換 股 期 權 獲 行
使 , 而 在 此 情 況 下 , 權 益 內 確 認
之 結 餘 將 轉 入 股 本 及 股 份 溢 價 。
倘 換 股 期 權 於 可 換 股 票 據 到 期 日
仍 未 獲 行 使 , 權 益 內 確 認 之 結 餘
將 轉 入 累 計 保 留 盈 利 。 換 股 期 權
獲 兌 換 或 到 期 時 將 不 會 於 損 益 內
確 認 任 何 收 益 或 虧 損 。
The conversion option classified as equity
is determined by deducting the amount
of the liability component from the fair
value of the compound instrument as a
whole. This is recognised and included
in equity, net of income tax effects, and
is not subsequently remeasured. In
addition, the conversion option classified
as equity will remain in equity until the
conversion option is exercised, in which
case, the balance recognised in equity
will be transferred to share capital and
share premium. Where the conversion
option remains unexercised at the
maturity date of the convertible note,
the balance recognised in equity will be
transferred to retained profits. No gain or
loss is recognised in profit or loss upon
conversion or expiration of the conversion
option.
