TRANSACTION (Continued)
The New Option Scheme
The major terms of the New Option Scheme are
summarised as follows:
(i)
旨 在 作 為 參 與 者 對 本 集 團 所 作 出 或 可 能 作
出 之 貢 獻 之 獎 勵 及 報 酬 。
(i)
The purpose is to provide incentives and
rewards to the participants for their contribution
or potential contribution to the Group.
(ii) 參 與 者 包 括 :

The participants include:
(1) (a) 在 本 公 司 或 本 公 司 直 接 或
間 接 持 有 任 何 股 本 權 益 之
任 何 實 體 ( 統 稱 「 持 有 權 益
團 體 」) 之 任 何 成 員 公 司 、
本 公 司 任 何 主 要 股 東 或 由
本 公 司 主 要 股 東 控 制 之 任
何 公 司 任 職 之 任 何 執 行 或
非 執 行 董 事 或 候 任 董 事 ( 包
括 任 何 獨 立 非 執 行 董 事 )、
全 職 或 兼 職 僱 員 或 候 任 僱
員 ;
(1) (a) any directors or proposed
director (whether executive or
non-executive including any
independent non-executive
director), employee or proposed
employee (whether full time or
part time) of any member of the
Company and any entity in which
the Company, directly or indirectly,
holds any equity interests
(collectively the “Interested
Group”) or any substantial
shareholder of the Company or
any company controlled by a
substantial shareholder of the
Company;
(b)

any holder of any securities issued
by any member of the Interested
Group or any substantial
shareholder of the Company or
any company controlled by a
substantial shareholder of the
