DIRECTORS’ INTERESTS IN CONTRACTS OF
SIGNIFICANCE
The Acquisition I as set out in Connected Transactions
constitutes a contract of significance of Ms. Chen, the
executive director and substantial shareholder of the Company
as Ms. Chen is the vendor in the Acquisition I.
除 上 述 所 披 露 者 外 , 於 年 度 終 結 或 年 內 任 何 時 間 , 並 無
任 何 由 本 公 司 或 其 任 何 附 屬 公 司 參 與 訂 立 與 本 公 司 董 事
直 接 或 間 接 擁 有 重 大 權 益 之 重 大 合 約 。
Other than as disclosed above, no contracts of significance to
which the Company or any of its subsidiaries was a party and
in which a director of the Company had a material interest,
whether directly or indirectly, subsisted at the end of the year
or at any time during the year.
根 據 本 公 司 按 《 證 券 及 期 貨 條 例 》(「 證 券 及 期 貨 條 例 」) 第
352 條 存 置 之 登 記 冊 (「 權 益 登 記 冊 」) 所 載 , 或 根 據 《 上 市
發 行 人 董 事 進 行 證 券 交 易 的 標 準 守 則 》(「 標 準 守 則 」) 須
通 知 本 公 司 及 香 港 聯 合 交 易 所 有 限 公 司 (「 聯 交 所 」) 之 規
定 , 於 二 零 一 零 年 十 二 月 三 十 一 日 , 各 董 事 及 彼 等 之 聯
繫 人 士 所 擁 有 本 公 司 及 其 相 聯 法 團 之 股 份 及 相 關 股 份 權
益 如 下 :

UNDERLYING SHARES
As at 31st December 2010, the interests of the directors and
their associates in the shares and the underlying shares of
the Company and its associated corporations, as recorded
in the register (“Register of Interests”) maintained by the
Company pursuant to Section 352 of the Securities and
Futures Ordinance (the “SFO”) or as otherwise notified to the
Company and The Stock Exchange of Hong Kong Limited (the
“Stock Exchange”) pursuant to the Model Code for Securities
Transactions by Directors of Listed Issuers (the “Model Code”)
were as follows:

分 別 控 制 50% 及 50% 權 益 之 公 司 Heung Wah Keung
Family Endowment Limited 持 有 及 137,025 股 股 份 由 陳
女 士 及 向 先 生 分 別 實 益 擁 有 60% 及 40% 權 益 之 公 司 多 實
有 限 公 司 持 有 。
* These shares are held as to 246,715,000 shares by Heung
Wah Keung Family Endowment Limited (a company owned
as to 50% by Mr. Heung and as to 50% by Ms. Chen) and as
to 137,025 shares by Dorest Company Limited (a company
beneficially owned as to 60% by Ms. Chen and as to 40% by
Mr. Heung).
