section 2. There shall be an General Youth Membership meeting held<br />
in conjunction with the annual Youth Conference.<br />
section 3. Special Meetings may be called by the Youth Executive<br />
Committee through a majority vote. Notice of said meeting will be posted<br />
thirty (30) days prior and will announce the time, place, and purpose<br />
and outline the business to be transacted. No other business may be<br />
transacted at such a meeting.<br />
section 4. Quorums for Annual or other special meetings of the<br />
members shall constitute those members present.<br />
section 5. Proxies will not be honored by the <strong>Pinto</strong> <strong>Horse</strong> <strong>Association</strong><br />
in any Youth Organization matters.<br />
section 6. During any PtHAYO meeting, each member in good standing<br />
is allowed one (1) vote. Voting is limited to PtHAYO matters only.<br />
aRTiClE Vi. ElECTED BoaRD oF DiRECToRs<br />
section 1. Eligible PtHAYO Youth wanting to serve as Youth Director will<br />
be selected by an application process. Applications will be made available<br />
and must be received by the PtHA business office by the published date.<br />
section 2. Directors one (1) year term of office will begin following the<br />
election of officers at the PtHAYO conference. There will be no term limit.<br />
section 3. Directors will represent his/her state/charter at PtHAYO<br />
functions.<br />
aRTiClE Vii. ElECTED youTH EXECuTiVE CoMMiTTEE<br />
section 1. The affairs of PtHAYO shall be monitored by the full PtHA<br />
Board of Directors and PtHA Executive Committee.<br />
section 2. It is a privilege, not a right, to serve on the Youth Executive<br />
Committee, which shall consist of President, Vice-President, Secretary<br />
and Treasurer.<br />
section 3. The Youth Executive Committee election shall be held during<br />
the annual Youth Conference. Directors and current PtHAYO officers<br />
interested in running for office must submit an application by the date<br />
determined by the PtHA office. The Executive Committee will be elected<br />
by a simple majority of PtHAYO members present at the Conference.<br />
section 4. Any position being vacated on the PtHAYO Executive Board<br />
shall be filled by the Youth President on an interim basis. All appointments<br />
made by the Youth President will be made for the remainder of the term.<br />
section 5. Informal actions by officers and directors, which are required<br />
by law to be .taken by a meeting of Youth Executives, or actions taken<br />
by Executives, may be taken without a meeting and shall be considered<br />
appropriate when consent in writing, setting forth the action so taken, is<br />
signed by a majority of the Executives. Each person who serves as an<br />
Executive or Committee member of PtHA shall be indemnified by PtHA<br />
against all costs and expenses incurred by or imposed upon them resulting<br />
from actions or proceedings taken against them as a result of being, or<br />
having been, an Executive or Committee member of this <strong>Association</strong>, as a<br />
result of legal, approved <strong>Association</strong> business.<br />
aRTiClE Viii. oFFiCERs oF THE oRGaniZaTion<br />
section 1. The President shall:<br />
A. preside over all meetings<br />
B. exercise general supervision and management, subject to the<br />
approval of the Youth members<br />
C. vote only to break a tie.<br />
section 2. The Vice-President shall:<br />
A. preside over any meeting in the absence of the President<br />
B. perform other duties as assigned by the President or Director of<br />
Youth Activities.<br />
section 3. The secretary shall:<br />
