1.4.2 The Contractor shall discharge obligation as provided under various applicable statutory enactments including the Employees Provident Fund & Miscellaneous Provisions Act - 1952, the Employees State Insurance (ESI) Act,- 1970, the Inter-State Migrant Workmen (Regulation of Employment and Conditions of Services) Act, -1979, the minimum Wages Act -1948, the Payment of Wages Act,-1936, The Workmen’s Compensation Act - 1923 and other relevant Acts, Rules and regulations enforced from time to time. 1.4.3 The Contractor shall be responsible for required contributions towards PF, Pension, ESI or any other statutory payments to be made in respect of the contract and the personnel deployed for rendering service to GAIL and shall deposit these amounts on or before the prescribed dates. Contractor shall submit the proof of depositing the employee’s and employer’s contributions, if required by GAIL. The Contractor shall also be responsible to pay any administrative/ inspection charges thereof, wherever applicable, in respect of the personnel employed by him for the work under the contract at GAIL. 1.4.4 The Contractor shall regularly submit all relevant records / documents under the contract to GAIL representative for verification, whenever required, and upon satisfaction of GAIL representative only, GAIL may consider and allow reimbursement of the requisite amount. 1.4.5 The Contractor shall be solely responsible for the payment of Wages and other dues to the personnel deployed by him latest by 7 th of the subsequent month. The Contractor shall be directly responsible and indemnify GAIL against all charges, dues, claims etc. arising out of the disputes relating to the dues and employment of personnel deployed by them. 1.4.6 The Contractor shall indemnify GAIL against all losses or damages of property or loss of human life’s, if any, caused to it on account of acts of the personnel deployed by him. 1.4.7 The Contractor shall ensure regular and effective supervision / control of the personnel deployed by him and gives suitable direction for undertaking the contractual obligations. 1.4.8 The Contractor shall take all measures necessary or proper to protect the personnel, work and facilities and shall observe all reasonable safety rules and instructions. 1.4.9 The Contractor shall report as soon as possible any evidence, which may indicate or is likely to lead to an abnormal or dangerous situation and shall take all necessary emergency control steps to avoid such abnormal situations. 124
1.5 BIDDER’s RESPONSIBILITIES 1.5.1 The bidder should be a total solution provider and shall cover the total scope of the Contract. The bidder shall ensure availability of all technical expertise, manpower resources, availability of spare parts, logistics support etc. and all the expenses incurred for the same will be borne by the Bidder. 1.5.2 Contractor shall undertake to perform the services with the highest standards of professional and ethical competence and integrity. For the purpose of regulating the services under this agreement, the classification of severity levels of the hardware/network problems have been categorized in the document. 1.5.3 The successful bidder would provide all the service through the manpower deployed from their own company. However, technical support for any specialized work (like cabling work, L3-L4 level support from respective OEMs or their authorized channel partners) can be agreed with prior permission from GAIL. Further, this exception shall be applied to the very specialized work as mentioned above and for all other requirements like deployment and day-to-day operations, the manpower shall be used from the Contractor regular personnel only. The Contractor will be solely responsible to ensure compliance of all obligations under the contract. 1.5.4 The bidder should confirm unconditional acceptance of full responsibility of executing the “Scope of Work” of the Tender. This confirmation should be submitted by the bidder alongwith technocommercial bid. 1.5.5 Bidder must identify Project Manager for entire project execution, management and regular liaison / discussions with GAIL on regular basis. 1.5.6 To have the technical skills verified and build confidence on the manpower being placed at sites, GAIL at their descrition can have interview arranged for the manpower (locally) that Contractor shall be positioning in GAIL and accordingly, GAIL can choose those who gets qualified. 1.5.7 GAIL, at its sole discretion, if determine that the services are not being performed satisfactorily or that any security rules, standards, guidelines, policies, or procedures are not being followed, GAIL shall inform Contractor of the same. After being informed, Contractor shall take within the mutually agreed time period such steps as necessary and appropriate to remedy the situation, including, but not limited to, replacing individuals who have been assigned for rendering the services. 1.5.8 Neither Contractor nor any employee of the Contractor or any individual assigned by Contractor shall deem to be an employee of GAIL for any purpose whatsoever. In conformance with and without limitation on any application of the foregoing statement, Contractor shall be solely responsible for payment of compensation and any other costs attendant to employment of Contractor, employees, including any amounts that may be due as prevailing wage under applicable law to Contractor employees assigned to perform services. Contractor will furnish GAIL with a written declaration that payments of all statuary obligations have been/ will be made. Such a declaration shall accompany the payment requests made by Contractor. 125
