other party, whether written or oral, which relates to internal controls,
computer or data processing programs, algorithms, electronic data
processing applications, routines, subroutines, techniques or systems, or
information concerning the business or financial affairs and methods of
operation or proposed methods of operation, accounts, transactions,
proposed transactions or security procedures of either party or any of its
affiliates, or any client of either party, except such information which is in
the public domain at the time of its disclosure or thereafter enters the
public domain other than as a result of a breach of duty on the part of the
party receiving such information. It is the express intent of the parties that
all the business process and methods used by SUCCESSFUL BIDDER in
rendering the services hereunder are the Confidential Information of
SUCCESSFUL BIDDER.
c) At all times during the performance of the Services, SUCCESSFUL
BIDDER shall abide by all applicable GAIL’s security rules, policies,
standards, guidelines and procedures. SUCCESSFUL BIDDER agrees that
before any of its employees or assignees is given access to the Confidential
Information, each such employee and assignees shall agree to be bound by
the term of this Contract agreement and such rules, policies, standards,
guidelines and procedures by its employees or agents.
d) The parties hereto agree not to disclose to any other party and to keep
confidential the terms and conditions of this Contract agreement, any
amendment hereof, and any Attachment or Annexure hereof.
e) The obligations of confidentiality under this section shall survive
termination or expiration of this Contract agreement.
f) A Non-disclosure Agreement shall be signed between GAIL & Contractor
/ Contractor deputed personnels for compliance of the above.
1.6 PAYMENTS TERMS
The Payment will be made by respective payment sites, listed at Annexure-
E on the basis of terms & conditions of the contract. The following payment
methodology will be adopted:-
1.6.0 The Contractor, on completion of the services for each quarter
shall submit relevant invoices at respective payment sites. The
payment shall be made from the respective payment sites on the
basis of actual number of IT infrastructure covered under MSS &
FMS Services and supply of Laptop / UPS Batteries, Printer
consumables, other optional items (Table-‘I’ of SOR), LAN
Cabling items (Table-‘J’ of SOR) & supply/services for repair of
cut of OFC segments (Table ‘K’ of SOR), if any, during that
quarter.
1.6.1 Payment will be made within a period of fifteen (15) working days
from the date of submission of the verified invoice with all the
relevant documents complete in all respects, as certified by the IT
In-charge of respective sites. However, no interest or claim will
be payable by GAIL, in case of delay of payment, due to any
reason whatsoever.
