FMS - GAIL

1.5.9 Contractor shall and does hereby indemnify and hold harmless GAIL
from any loss, liability, damage or expense arising from or in connection
with :
1.5.9.1 Any claim that the personnel provided by Contractor, or any
other assignees of Contractor are employees of GAIL for any purpose;
1.5.9.2 Any claim that Contractor or its associate/ sub vendor has
failed to compensate its employees, including the payment of prevailing
wages in accordance with the applicable law;
1.5.9.3 Any claim that Contractor has not complied with any wage
and/or employment laws, rules regulations or common law.
1.5.10 Contractor warrants that each of the individuals engaged in the
performance of the services shall be adequately experienced and trained by
Contractor before the individual is assigned to perform the services. If
payment under this contract agreement is based in whole or in part time
charges, Contractor shall not replace any one of such individuals
performing the services with another individual until the replaced individual
has received such experience and training from Contractor.
1.5.11 All the manpower explicitely mentioned in the tender document is
for front end support purposes only. However, bidder has to ensure that
the GAIL IT services are up & running on 24X7 basis and also all the
expertise (L3 and L4 level support) is to be reasily made available for
keeping the services running as per the SLR for all the servers, componets
and services across GAIL locations
1.5.12 Technical resources deputed by the Contractor shall also be
responsible for Data center environment parameters monitoring for
uninterrupted operation for UPS & AC services. This will include
temperature, humidity monitoring after a regular interval as decided by
GAIL.
1.5.13 Contractor shall supply required nos. of consumable items at each
instance with in a period of ten days at respective sites after receiving such
communication from respective site In-charge.
1.5.14 At the time of the closing / expiring of the contract, Contractor
shall provide full support & assistance to the new desinated contractor /
GAIL for smooth handing over / taking over.
1.5.15 Confidential Information
a) Contractor shall keep confidential any confidential information of the
GAIL with the same degree of care as it would treat its own confidential
information. All the confidential information will be used only for the
purposes of this Contract agreement and shall not be disclosed to any third
party for any reason whatsoever.
b) As used herein, the term “Confidential Information” means any
information, including without intimation, information created by or for the
