1.6.2 Income Tax / surcharge deductions will also be made at source as per prevailing rules. In addition to income tax, any other mandatory tax and non-performance deduction, if any, as per non-performance deduction clause no. {1.10} will also be deducted from the quarterly bill of the contractor. 1.6.3 In the event of any dispute in a portion or whole of any invoice, GAIL may make payment for the undisputed portion of the invoice and shall notify the contractor for the remaining / disputed portion therein so as to mutually resolve the dispute amicanly. In case of any mutual resolution either in part or in full, the payment in view of the settlement reached, shall be made to the contractor within a period of 15 working days of such settlement. 1.6.4 No advance payment shall be made in any case. 1.6.5 The quaterly bills (invoices) for a site will be submitted in triplicate copies, duly signed & revenue stamped along with the following documents :- 1.6.5.1 For Non Resident Service Engineer Sites : a. Consolidated record of Monthly call reports for a location b. Monthly availability of different category of equipments / uptime report c. Overall Quarterly availability report of most critical & less critical equipments d. Quarterly Preventive Maintenance report 1.6.5.2 For Resident Service Engineer Sites : a. Consolidated record of Monthly call reports for a location b. Qtrly – IMAC report c. Monthly availability of different category of equipments report d. Overall Quaerterly availability report, with detailed calculations of non-performance deductions i.e. Qtrly availibality report of most critical equipments and Qtrly availibality report of less critical equipments e. Monthly report on detailed of mail box created. Deleted & transferred f. Monthly report on planned server backups & backup actually taken and reason thereof, if any, for not taking the backup. g. Monthly Server uptime report h. Monthly Network availability & utilization report i. Quarterly PM & H/w external cleaning report j. Monthly On-site Spares availability report The One Time Maintenance Charges, if any, will be handled on a case to case basis by individual GAIL sites separately. The same will have no link what-so-ever with the main contract or its payments except for the MSS / FMS rendered under the contract. 128
1.7 SERVICE LEVEL REQUIREMENTS (SLR) GAIL IT Infrastructure shall be operational for 24 hours a day, 7 days a week, throughout the year. The availability of different category of equipments and overall availability of all the systems covered under this contract, viz. network, networking hardware, servers, PCs, Printers, UPS, Peripherals etc. shall be as per clause no. 1.8 for calculation of service level requirements of different category of IT devices. 1.8 CALCULATION OF AVAILABILITY 1.8.1 The equipment shall be treated as ‘not available or down’ from the time the call is registered through M/s CA supplied Help desk software Package or through phone / e-mail till the time equipment is repaired and restored to the user to his / her satisfaction. The details of response time are indicated under”Resolution Time”. 1.8.2 Calls that require escalation to vendors like connectivity providers, hardware Maintenance calls for Systems under Warranty, application package related calls etc. will not be considered for down time calculations till the time these problems get resolved and Systems becomes operational by respective vendors. 1.8.3 Up-time / availability of individual systems will be monitored on a day to day basis and shall be computed on quarterly basis. 1.8.4 In case, a suitable working substitute of defective equipment has been provided by the Contractor, the equipment shall be treated as ‘available’ for the purpose of calculation of availability. 1.8.5 Time lost due to electrical / environmental problems and time used in carrying out Preventive Maintenance activities of Systems at any site will be excluded for the purpose of calculation of availability. 1.8.6 Call pertaining to most critical devices has to be closed within SLR irrespective of the time the call is registered. However, for calls pertaining to Less Critical Devices, if the call is registered in late afternoon (after 1630 hrs.) on the day preceding GAIL’s closed holiday and call could not be closed on the same day, the holidays will not be considered for non-performance deductions, subject to the condition that, on holidays or beyond working hour, the equipment was not made available to the contractor. 129
