Agreement and <strong>the</strong> Contract Documents. This Agreement and <strong>the</strong> Contract Documents are<br />

intended <strong>to</strong> complement and supplement each o<strong>the</strong>r. . In <strong>the</strong> event that <strong>the</strong>re is a conflct or<br />

discrepancy between <strong>the</strong> provisions of this Agreement and <strong>the</strong> Contract Documents, <strong>the</strong><br />

provisions of this Agreement shall govern over <strong>the</strong> provisions of <strong>the</strong> Contract Documents<br />

and <strong>the</strong> provisions of <strong>the</strong> <strong>City</strong>'s RFP shall govern over <strong>the</strong> Contrac<strong>to</strong>r's Proposal dated May<br />

i 0, 2004 and Contrac<strong>to</strong>r's Proposal Clarification letter dated July 6, 2004.<br />

2. The contract term is for one (l) year effective as of November i, 2009 and<br />

ending on Oc<strong>to</strong>ber 3 i , 20 i O.<br />

3. It shall be <strong>the</strong> Contrac<strong>to</strong>r's responsibility <strong>to</strong><br />

provide and pay for veterinary<br />

services for all animals that become sick while under <strong>the</strong> Contrac<strong>to</strong>r's care at <strong>the</strong> shelter. It<br />

shall be <strong>the</strong> Contrac<strong>to</strong>r's responsibility <strong>to</strong> transport <strong>to</strong> <strong>the</strong> veterinarian animals that become<br />

sick at <strong>the</strong> shelter.<br />

<strong>City</strong>.<br />

4. Contrac<strong>to</strong>r agrees that it will admit <strong>to</strong> <strong>the</strong> pound all animals brought by <strong>the</strong><br />

5. _ The scope of services <strong>to</strong> be performed shall not be materially different from,<br />

or more or less extensive, than those specified above unless such modifications are reduced<br />

in writing and signed by authorized representatives of <strong>the</strong> <strong>City</strong> and Contrac<strong>to</strong>r. Any<br />

modifications which increase <strong>the</strong> compensation of Contrac<strong>to</strong>r shall require <strong>the</strong> prior<br />

authorization of <strong>the</strong> governing body of <strong>the</strong> <strong>City</strong>.<br />

ARTICLE II<br />

Contractual Relationship<br />

i. In performing <strong>the</strong> services under this Agreement, Contrac<strong>to</strong>r shall operate and<br />

have <strong>the</strong> status of an independent contrac<strong>to</strong>r and shall not act as an agent or employee of<br />

<strong>City</strong>. As an independent contrac<strong>to</strong>r, Contrac<strong>to</strong>r shall be solely responsible for determining<br />

<strong>the</strong> means and methods of performing <strong>the</strong> consulting services described in <strong>the</strong> Scope of<br />

Services.<br />

2. Contrac<strong>to</strong>r shall perform <strong>the</strong> services <strong>to</strong> be furnished under this Agreement<br />

with <strong>the</strong> degree of skil and care that is required by cus<strong>to</strong>marily accepted competent<br />

professional practices <strong>to</strong> assure that all work and services are<br />

purposes intended.<br />
