12. Retention of Records<br />

Financial records, supporting documents, statistical reGOrds, and all o<strong>the</strong>r records<br />

pertinent <strong>to</strong> this Agreement shall be retained by <strong>the</strong> Sub grantee for a period of three<br />

years from <strong>the</strong> date of its last anual performance report on <strong>the</strong> project except as<br />

follows:<br />

A) Records that are <strong>the</strong> subject of any fmding, concern, or issue raised by any<br />

federal agency or <strong>the</strong> <strong>City</strong> shall be retained for at least three years after final<br />

resolution of such matters with <strong>the</strong> Federal governent and <strong>the</strong> <strong>City</strong>.<br />

B) Records for non-expendable property which was acquired with Federal Grants<br />

fuds shall be retained for three years after its final disposition.<br />

13. CovenaDt Against Contingent Fees<br />

The Subgrantee warants that no person or sellng agency or o<strong>the</strong>r organzations has<br />

been employed or retaned <strong>to</strong> solicit or secure this Agreement upon a contract or<br />

understanding for a commission, percentage, brokerage, or contingent fee. For<br />

breech or violation of ths warant, <strong>the</strong> <strong>City</strong> shall have <strong>the</strong> right <strong>to</strong> anul ths<br />

Agreement without liabilty, or in its direction <strong>to</strong> deduct from <strong>the</strong> contract or<br />

o<strong>the</strong>rwse recover recover <strong>the</strong> full amount of such commssion, percentage, brokerage<br />

or contingent fee or <strong>to</strong> seek such o<strong>the</strong>r remedies as legally may be <strong>available</strong>.<br />

14. Termination<br />

A) The <strong>City</strong> may by giving reasonable wrtten notice specifying <strong>the</strong> active date,<br />

termate this contract in whole or in par for cause, which shall include:<br />

I) Failure, for any reason, of <strong>the</strong> Subgrantee <strong>to</strong> fulfill in a timely and proper<br />

maner its obligations, under ths Agreement, including compliance with<br />

<strong>the</strong> approved program, executive orders and <strong>the</strong> <strong>City</strong> directives as may<br />

become generally applicable at any time;<br />

II) Submission by <strong>the</strong> Subgrantee <strong>to</strong> <strong>the</strong> <strong>City</strong> of reports that are incorrect or<br />

incomplete in any material respect;<br />

III) Suspension or termation by <strong>the</strong> County. of <strong>the</strong> grant <strong>to</strong> <strong>the</strong> <strong>City</strong> under<br />

which this Agreement is made. If <strong>the</strong> Subgrantee is unable or unwilling <strong>to</strong>
