12. Retention of Records
Financial records, supporting documents, statistical reGOrds, and all other records
pertinent to this Agreement shall be retained by the Sub grantee for a period of three
years from the date of its last anual performance report on the project except as
follows:
A) Records that are the subject of any fmding, concern, or issue raised by any
federal agency or the City shall be retained for at least three years after final
resolution of such matters with the Federal governent and the City.
B) Records for non-expendable property which was acquired with Federal Grants
fuds shall be retained for three years after its final disposition.
13. CovenaDt Against Contingent Fees
The Subgrantee warants that no person or sellng agency or other organzations has
been employed or retaned to solicit or secure this Agreement upon a contract or
understanding for a commission, percentage, brokerage, or contingent fee. For
breech or violation of ths warant, the City shall have the right to anul ths
Agreement without liabilty, or in its direction to deduct from the contract or
otherwse recover recover the full amount of such commssion, percentage, brokerage
or contingent fee or to seek such other remedies as legally may be available.
14. Termination
A) The City may by giving reasonable wrtten notice specifying the active date,
termate this contract in whole or in par for cause, which shall include:
I) Failure, for any reason, of the Subgrantee to fulfill in a timely and proper
maner its obligations, under ths Agreement, including compliance with
the approved program, executive orders and the City directives as may
become generally applicable at any time;
II) Submission by the Subgrantee to the City of reports that are incorrect or
incomplete in any material respect;
III) Suspension or termation by the County. of the grant to the City under
