violation, not <strong>to</strong> exceed $50,000 for each business registration copy not properly provided under<br />

a contract with a contracting agency.<br />

Special Provisions<br />

The <strong>City</strong> reserves <strong>the</strong> right <strong>to</strong> termina.te <strong>the</strong> within Agreement at any time for any<br />

reason whatsoever, in which event <strong>the</strong> Special Counsel shall be paid for services due up <strong>to</strong> <strong>the</strong><br />

date of termination. Thereafter, this Agreement shall be considered null and void with no<br />

fur<strong>the</strong>r rights or obligations emanatig <strong>the</strong>refrom.<br />

IN WITNESS WHEREOF, <strong>the</strong> parties here<strong>to</strong> have set <strong>the</strong>ir hands and seal or caused<br />

<strong>the</strong>se presents <strong>to</strong> be signed by <strong>the</strong>ir proper corporate officers and <strong>the</strong>ir proper corporate seal<br />

here<strong>to</strong> affixed <strong>the</strong> day, month and year above written.<br />

(A) If <strong>the</strong> contract exceeds $9,200, it shall also be subject<br />

Affirmative Action Plan<br />

<strong>to</strong> <strong>the</strong> Affirmative Action<br />

amendments <strong>to</strong> <strong>the</strong> "Law Against Discrimination", N.I.S.A. 10:5-31 et seq.<br />

(B) This contract shall not become effective and special counsel shall provide no<br />

services under this contract until he or she has executed <strong>the</strong> following<br />

documents:<br />

1. A supplemental Affirmative Action agreement pursuant <strong>to</strong> N.I.S.A. 10:5-<br />

21 et seq.<br />

2. An Affirmative Action Employee Information Report (form AA-302) (for<br />

contracts which exceeds $9,200).<br />

These documents may be obtained from <strong>the</strong> department responsible for <strong>the</strong><br />

adminstration of this contract. All of <strong>the</strong> terms and conditions are made part of this contract.<br />
