The City does not agree to pay for time spent educating lawyers as a result of the transfer
or work between attorneys within the law firm unless approved by the City in advance. A
complete or substantially complete transfer of work from an attòrney having significant
responsibilty on a matter to another attorney or attorneys must be approved by the City.
The City does not agree to pay for more than one attorney's attendance at meetings,
depositions, conferences or hearings unless the City authorizes such attendance in advance.
Assignment
The services under this contract shall be performed exclusively by Special Counsel not by
any other member of his firm. Special Counsel may assign work under this contract to another
person within the firm only with the approval of the Corporation CounseL.
New Jersey Business Registration Requirements
The coIltractor shall provide written notice to its subcontractors of the responsibility to
submit proof of business registration to the contractor.
Before final payment on the contract is made by the contracting agency, the contractor shall
submit an accurate list and the proof of business registration of each subcontractor or supplier
used in the fuilment of the contract, or shall attest that no subcontractors were used.
For the term of the contract, the contractor and each of its affilates and a subcontractor and
each of its affiiates (N.J.S.A. 52:32-44(g)(3)) shall collect and remit to the Director, New Jersey
Division of Taxation, the use tax due pursuant to the Sales and Use Tax Act on all sales of tangible
personal property delivered into ths State, regardless of whether the tangible personal property
is intended for a contract with a contractig agency.
