Consulting Services Agreement
For the Identification and Nomination of Eligible Historic Resources
within the Powerhouse Arts District Redevelopment Plan Area
To the Municipal, State and National Registers of Historic Places
AGREEMENT made this 13 day of January 2010 between the City of Jersey City,
280 Grove Street, Jersey City, New Jersey 07302, a Municipal Corporation ofthe State of
New Jersey ("City") and the TranSystems Corporation, (hereinafter referred to as
"Consultant").
WHEREAS, This contract for consulting services for the identification and nomination of
eligible historic resources within the Powerhouse Ars Distrct Redevelopment Plan area
to the municipal, state and national registers of historic places; and
WHEREAS, The City prepared and advertised a Request for Proposal document (RFP)
describing the services requested by the City; and
WHEREAS, Consultant submitted the most advantageous proposal to the City;
NOW, THEREFORE, in consideration of the mutual promises and covenants set forth
herein, the parties agree as follows:
ARTICLE I
Purpose of Agreement
The purpose of this Agreement is for Consultant to provide the City with the
required professional studies, nomination applications, meeting attendance, and
presentations necessary to obtain decisions on the area of study for local, state and
national designation.
ARTICLE II
Scope of Services
1. Consultant shall pedorm for the City all the required services in accordance
with the Request for Proposal (RFP") prepared by the City and the proposal dated,
December 3, 2009 entitled Response to Request for Proposals to Provide Consulting
Services for the IdentijcationIomination of Eligible Historic Resources within the
Powerhouse Arts District Redevelopment Plan Area prepared by Consultant, both of
which are attached hereto and made a par hereof by reference. This Agreement, the
RFP, and the Proposal are intended to complement and supplement each other. In the
event that there is a conflct or discrepancy among the provisions of this Agreement, the
RFP and the Proposal, the provisions of this Agreement shall gover over the RFP and
the Proposal, and the provisions of the RFP shall govern over the ProposaL.
