comply with such additional conditions as may lawflly be applied by the
City with regard to this grant, the Subgrantee .shall terminate the contract
by giving reasonable wrtten notice to the City signfying the effective
date thereof. In such an event, the City may require the Subgrantee to
ensure that adequate arangements have been made for the transfer of
granted activities to another organzation or to the City.
B) In the event of any termination, all property and finished or unfinished
documents, data, studies and reports purchased or prepared by the Subgrantee
under this Agreement shall be disposed of according to City directives.
C) Notwthstanding the above, the Subgrantee shall not be relieved of liabilty to
the City for damages sustained by the City by virte of any breach of the
contract by the Sub grantee and the City may withhold any reimbursement to
the Subgrantee for the purose of set-off until such time as the exact amount
of damages due the City from the Subgrantee is agreed upon or otherwise
detemued.

A) The Subgrantee may incur cost only durg the period set fort in paragraph
one of this Agreement. Expenditues made before or afer these dates shall be
disallowed. Funds obligated but not disbursed at the end of the contract
period shall be liquidated within thi days. After the close of the Agreement
period any unexpended fud balance remaining shall become the property of
the City subject to the stipulations of any Agreements which the City has
executed with regard to the fuds.
B) No contract fuds shall be expended except as identified in the Agreement.
16. Modifcation
This Agreement may be modified by mutu consent in wrting. A modification to
any section of ths Agreement will not act as to modify the tota Agreement.
