HOST CITY AGREEMENT
THIS HOST CITY AGREEMENT and all Schedules hereto (collectively, the "Agreement") is entered into as
of January _' 2010 (the "Effective Date") by and between Red Bull Air Race GmbH, a company incorporated in
Austria ("REAR") and Red Bull North America, Inc., a California corporation ("RENA" and together with REAR,
collectively the "Red Bull Entities"), on the one hand, and Jersey City (the "City"), on the other hand.
WHEREAS, the Red Bull Entities are hosting an event entitled "Red Bull Air Race New York" (the "Event")
currently set to take place in Libert State Park ("Liberty Park") and over the waterway between the City and New York
City (together with the Park, collectively the "Venue") on June 19-20,2010 (the "Event Date");
WHEREAS, the parties wish to enter into this Agreement pursuant to which the City wil provide the Red Bull
Entities certain marketing and event planning services in connection with the Event as more particularly described
herein;
WHEREAS, the Red Bull Entities additionally desire to secure the rights and permission to fim the Event at,
and around, the Venue; and
WHEREAS, the Event wil provide increased public awareness for the City through public relations,
advertising and marketing of the Event.
NOW, THEREFORE, in consideration of the foregoing, and of the mutual covenants and conditions set forth
herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows:
1. GENERAL RESPONSIBILITIES OF THE PARTIES.
(a) Responsibilities of the City. The City shall perform all services, including, without limitation, the
services set forth on Schedule A, attached hereto and incorporated herein by reference, (the "Services") reasonably
necessary, desirable and appropriate in order for the Red Bull Entities to host the Event in the City in accordance with
general industry standards.
(b) Responsibilities of the Red Bull Entities. The Red Bull Entities shall comply with the obligations set
forth on Schedule B, attached hereto and incorporated herein by reference.
2. FEE. Except as specifically set forth in this Agreement, the parties each hereby acknowledge and agree that
neither part shall owe the other part any fees in connection with the Services being provided hereunder.
3. ADDITIONAL OBLIGATIONS.
(a) City Security and PersonneL. The City shall provide reasonably and appropriate security and
personnel necessary at, and around, the Venue in connection with the Event in accordance with general industr
standards for events similar in scope, publicity and attendance, such security to include, without limitation, Jersey City
Police Departent personneL. Such personnel shall be retained, deployed, supervised and managed by the City in its
reasonable discretion. The Red Bull Entities may, in its sole discretion, retain private security personnel for the Event
to provide security and crowd control services in connection with the Event, including marshals for the safety, crowd,
stage and backstage areas and for Event talent. The parties shall work in conjunction with Event safety and security
personnel to ensure a safe and acceptable venue for the Event.
In addition, the City shall use its best efforts to assist the Red Bull Entities in securing other public safety
services (e.g., fire brigade and ambulance). Without limiting the generality of the foregoing, the City shall work in
conjunction with the Red Bull Entities and other governental agencies with
jurisdiction over the Event to ensure a safe
and acceptable Venue for the Event. Notwithstanding anything contained herein to the contrary, the City's obligations
set forth in the preceding sentence shall include providing security and crowd and traffc control services in areas
around the Venue in the State of New Jersey relating to the Event to ensure that such areas are safe and acceptable
during the Event Period.
The parties acknowledge and agree that the Red Bull Entities shall pay any fees required for the security and
personnel services set forth in this Section 3(a); provided, that all such security and personnel services are as mutually
