LICENSE AGREEMENT<br />

This AGREEMENT is made this day of, <strong>2010</strong> between <strong>the</strong> CITY OF JERSEY CITY, a municipal<br />

corporation of <strong>the</strong> State of New <strong>Jersey</strong>, with offces at <strong>City</strong> Hall, 280 Grove Street, <strong>Jersey</strong> <strong>City</strong>, New<br />

<strong>Jersey</strong> 07302, hereinafter designated as "LICENSOR" and <strong>the</strong> <strong>Jersey</strong> <strong>City</strong> Episcopal Community<br />

Development Corp., with offices at 514 Newark Avenue, <strong>Jersey</strong> <strong>City</strong>, New <strong>Jersey</strong> 07306 hereinafter<br />

designated as "LICENSEE".<br />

WITNESSETH that:<br />

1. The Licensor is <strong>the</strong> owner of property located at <strong>the</strong> following sites in <strong>Jersey</strong> <strong>City</strong>, New <strong>Jersey</strong> as<br />

shown on <strong>the</strong> official map of <strong>the</strong> Tax Assessor of <strong>Jersey</strong> <strong>City</strong>, Hudson County, New <strong>Jersey</strong><br />

(hereinafter <strong>the</strong> "Property").<br />

2. The Licensor agrees <strong>to</strong> permit <strong>the</strong> Licensee <strong>to</strong> enter on<strong>to</strong> <strong>the</strong> property for <strong>the</strong> sole purpose of<br />

conducting architectural and environmental inspections and additional activities.<br />

3. The Licensee agrees that any work performed shall be at <strong>the</strong> Licensee's sole cost and expensed and<br />

shall be performed by a licensed contrac<strong>to</strong>r qualified in <strong>the</strong> State of New <strong>Jersey</strong><br />

4. All property, for which <strong>the</strong> Licensee has obtained access pursuant <strong>to</strong> this Agreement, must and shall<br />

be immediately res<strong>to</strong>red <strong>to</strong> <strong>the</strong>ir previous conditions upon completion of conducting architectural and<br />

environmental inspections.<br />

5. The Licensee shall defend, indemnify, save and hold harmless <strong>the</strong> Licensor from any and all<br />

accidents, losses, damages, claims, demands, suits, liens, expenses (including reasonable<br />

at<strong>to</strong>rneys' fees and expenses) and judgments of any nature arising, or alleged <strong>to</strong> arise, by reason of<br />

this Agreement or <strong>the</strong> use of <strong>the</strong> Property by <strong>the</strong> Licensee or any of its agents, servants, employees,<br />

contrac<strong>to</strong>rs, subcontrac<strong>to</strong>rs or invitees, in on or about <strong>the</strong> Property for <strong>the</strong> purposes set forth above<br />

with its permission, express or implied, and whe<strong>the</strong>r <strong>the</strong> use of <strong>the</strong> Property is within or outside <strong>the</strong><br />

scope of <strong>the</strong> above permitted use. The obligations of <strong>the</strong> Licensee <strong>to</strong> indemnify <strong>the</strong> Licensor<br />

pursuant <strong>to</strong> this Section shall survive any termination of this Agreement.<br />

6. The Licensee agrees <strong>to</strong> carry or require its contrac<strong>to</strong>r <strong>to</strong> carry property damage and Comprehensive<br />

General Liabilty Insurance for an amount not less than $1,000,000 or such o<strong>the</strong>r type and amount<br />

as is deemed necessary and appropriate by <strong>the</strong> <strong>City</strong>'s Risk Manager. The Licensee shall furnish <strong>to</strong><br />

, <strong>the</strong> Licensor a Certificate of Insurance for <strong>the</strong> benefit of <strong>the</strong> Licensee and Licensor naming <strong>the</strong><br />

Licensor, its employees or agents as additional named insured and covering <strong>the</strong> Property herein<br />

described. Delivery of Certificate of Insurance evidencing policies or insurance and proof of payment<br />

of premium shall be delivered <strong>to</strong> <strong>the</strong> Licensor at least one week after execution of this Agreement.<br />

The obligation of <strong>the</strong> Licensee <strong>to</strong> indemnify <strong>the</strong> Licensor pursuant <strong>to</strong> <strong>the</strong> Section shall survive any<br />

termination of this Agreement.<br />

7. The Licensee shall fur<strong>the</strong>r furnish <strong>to</strong> <strong>the</strong> Licensor evidence that it has reasonable compensation<br />

insurance for <strong>the</strong> protection of any of <strong>the</strong> employees or agents of <strong>the</strong> Licensee.<br />

8. ALL accidents or injuries <strong>to</strong> persons, or any damages, etc., occurring as a result of or in connection<br />

with <strong>the</strong> Licensee's use of <strong>the</strong> Property, shall be reportea immediately <strong>to</strong> <strong>the</strong> <strong>City</strong> of <strong>Jersey</strong> <strong>City</strong>,<br />

Division of Risk Management and <strong>the</strong> Office of Real Estate as authorized representatives of <strong>the</strong><br />

Licensor <strong>to</strong>ge<strong>the</strong>r with all information required by <strong>the</strong> Licensor on <strong>the</strong> prescribed forms <strong>to</strong> be<br />

provided by <strong>the</strong> Licensor.<br />

9. The Licensee shall, accept sole responsibilty for any or all security, if necessary, for its equipment<br />

and supplies or <strong>the</strong> equipment and supplies of its agents, servants, employees,. contrac<strong>to</strong>rs and<br />

invitees while on <strong>the</strong> premises, at no cost <strong>to</strong> <strong>the</strong> <strong>City</strong> af <strong>Jersey</strong> <strong>City</strong>.
